文章以我国2000~2004年的上市公司为样本,在政府、银行和企业三方的预算软约束框架内实证检验了企业投资支出和债务杠杆之间的关系。研究发现,企业投资支出整体上同债务杠杆呈负相关。但在国有绝对控股的上市公司中,企业投资支出对于负债水平不敏感,并且,随着国有股权比例的上升,企业投资支出对债务杠杆的敏感度逐渐下降。基于此,文章认为,政府对国有企业和国有商业银行同时实施的双重预算软约束是导致国有企业投资行为扭曲和债务治理机制失效的重要原因。  相似文献

Debt financing is expected to improve the quality of corporate governance, but we find, using a large sample of public listed companies (PLCs) from China, that an increase in bank loans increases the size of managerial perks and free cash flows and decreases corporate efficiency. We find that bank lending facilitates managerial exploitation of corporate wealth in government‐controlled firms, but constrains managerial agency costs in firms controlled by private owners. We argue that the failure of corporate governance may derive from the shared government ownership of lenders and borrowers, which nurtures soft budget constraints.  相似文献

We empirically investigate the impact of different ownership groups on companies’ investment in Ukraine with a novel dynamic investment model where investment is based on present and historical levels of profitability (market-to-book value of equity) and lagged investment. Groups include state, insider, non-domestic, financial and financial and industrial group (FIG) ownership. Contrary to the literature, we find that the past level of profitability significantly affects investment; the majority presence of and increases in state ownership have a negative impact on firms’ investment, as is the case for non-domestic and financial companies’ ownership. Insider and FIG ownership have no impact on investment. We explain the results by the extent of liquidity concerns (hard and soft budget constraints), measured by cash flow interacted with a dummy variable of majority ownership of the respective group, and the extent of asset stripping for the corresponding ownership group and relate them to over- and under-investment, and to the free cash flow or cash constraint hypothesis.  相似文献

Ownership and control have been concentrating in most transition countries. The consolidation of control introduces changes in the power distribution within privatized firms and, most importantly, redirects the corporate governance problem to a conflict between large and small shareholders. In this study, we evaluate the ownership changes in Slovenian privatized firms through an analysis of stock price reactions to the entrance of a new blockholder (the shared benefits of control) and through an estimation of the premiums paid for large blocks (the private benefits of control). We provide evidence of and discuss the reasons for the failures of the privatization investment funds in implementing control over firm managers and in promoting the restructuring of firms in the first post‐privatization years.  相似文献

In the transitional economies of East and Central Europe, privatization is widely considered essential for transforming the large state-owned enterprises. However, eager to expose the public enterprises to ‘hard budget constraints’, economists have neglected the importance of who the owners are. Studies of ownership structures and post-privatization restructuring in east Germany provide evidence that ownership matters for transformation success. The adoption of west German institutions in the east and the sale of state industrial property in concentrated shares to ‘insider’ investors seem to have created good conditions for the long-term committed investments essential for the rebuilding of tangible and intangible assets in east German enterprises. However, the control structures of a sample of enterprises reveal a wide range of investment strategies between types of corporate investors. Just as legal and financial institutions set constraints on ownership structure, the ownership structure sets constraints on the range of investment choices. Whether committed investments occur will depend on constrained strategic decisions of the new private owners.  相似文献

This paper examines the incentive effects of the soft budget constraint on the investment behavior of firms in general and on the investment-cash flow sensitivity in particular. To this end, we develop a simple model of moral hazard that takes the soft budget constraint into account. Within this moral hazard environment, we show that investment is positively related to the amount of internal funds. We further show that the presence of the soft budget constraint deteriorates the moral hazard problem, thereby making the investment level less sensitive to the amount of internal funds. This is the case irrespective of whether the soft budget constraint renders the firm more or less liquidity constrained. To test the model's empirical implications, we employ data of China's listed companies for the period from 1997 to 2003. We use the share of state ownership as a proxy for the severity of the soft budget constraint. We find strong evidence that firms with larger shares of state ownership exhibit lower investment-cash flow sensitivities than firms with smaller shares of state ownership.  相似文献

This paper investigates the investment behaviour of a large panel of Hungarian firms in the period 1989–99, in order to assess the impact of institutional and regulatory changes on the efficiency of credit allocation. We find that the role of financial factors for investment decisions has changed significantly after the introduction of major financial reforms, and that firms were affected differently depending on their ownership type. Reforms have hardened the budget constraint of private domestic firms, particularly small ones, and reduced informational problems for foreign‐owned firms. State‐owned firms remained subject to a soft budget constraint. In particular, small state firms became more sensitive to financial conditions, whereas large state firms were unaffected and kept operating under a soft budget constraint.  相似文献

Using a unique dataset comprising information for (up to) 153 firms in the machine building sector in Belarus, we investigate the determinants of firm growth for an economy where state ownership of enterprises is widespread. We use panel data models based on generalizations of Gibrat’s law, total factor productivity estimates and matching methods to assess the differences in firm growth between private and state-controlled firms. Our results indicate that labor hoarding and soft budget constraints play a particularly important role in explaining differences in performance between these two groups of firms.  相似文献

以2013—2018年期间379家中国A股技术密集型公司数据为样本,研究了家族所有权在研发投资和CEO薪酬关系中的调节作用。结果发现:与非家族企业相比,家族企业CEO薪酬与研发投资水平关联性较高;家族所有权比例较高的家族企业对CEO薪酬与研发投资的关系具有更强的正向调节能力;低风险与高风险的家族企业在研发投资上没有显著差异。因此,家族所有权在研发投资和CEO薪酬关系中具有调节的作用是基于信息优势和较长的投资期限,而并非风险规避。进一步研究发现:家族企业的研发投资比非家族企业具有更高的投资效率、并可转化为更高的企业价值和增长率。  相似文献

This paper investigates the relationship between environmental regulations and innovation by focusing on the automobile industry in a cross-country setting. We provide empirical evidence that the presence of agency problems mitigates the negative effects of environmental regulations on overall R&D activity, which leads to full compensation when the degree of agency problems is sufficiently high. Guiding our empirical analysis, we provide a general model consistent with the structure of existing ownership data. Specifically, we model ownership structure as a combination of two extreme corporate governance types. On the one extreme there are profit maximizers, and on the other extreme there are managers who are only concerned with their private benefits. The model leads to a simple country level ownership indicator and shows that if an economy is dominated by firms with higher agency problems, then pollution tax might even increase overall R&D, while reducing pollution. According to our estimations, such an outcome is possible only for out-of-sample values of the ownership indicator, where the degree of agency problems is extremely high.  相似文献

This study investigates how taxes influence corporate investment behavior. Based on a census of Chinese industrial enterprises, we utilize a tax-adjusted q model to examine the effects of taxes on corporate investment in fixed assets in China. Results show that the effective tax rate has a relatively small but significantly negative impact on Chinese firms’ investment in fixed assets. We extend the tax-adjusted q model to control for the lagged investment effect and peer effect of investment. Models with these effects do better at explaining the impact of taxes on firms’ investment. The lagged investment models present smaller but significant tax disincentive. Firms compete for investment with other firms both in the same region and in the same industry through peer effect. In addition, the tax disincentive differs among state owned enterprises, private enterprises, and other enterprises in China.  相似文献

以2010-2015年沪深584家A股上市公司为样本,从产权异质性角度考察企业金融化、高管股权激励与研发投资关系。研究发现:①非货币金融资产持有比例与研发投资呈负相关,反映企业金融化对研发投资具有挤出效应,且高管股权激励能弱化企业金融化与研发投资的负向关系。挤出效应和弱化效应在投资性金融资产上体现非常明显,而在交易类金融资产上体现不明显;②与非国有企业相比,非货币金融资产的挤出效应和高管股权激励的弱化效应在国有企业中表现更为显著。投资性金融资产的挤出效应在国有企业中较为显著,而在非国有企业中不太显著,但高管股权激励的抑制作用在国有或非国有企业均较为明显。不论产权异质性,交易类金融资产的挤出效应和高管股权激励的抑制作用均不显著。  相似文献

The existing literature on soft budget constraints suggests that firms may be subsidized for political reasons or because of the creditors' desire to recover a part of the sunk cost invested in an earlier period. In all these models hard budget constraints are viewed as being, in principle, capable of inducing the necessary restructuring behaviour on the level of the firm. This paper argues that the imposition of financial discipline is not sufficient to remedy ownership and governance-related deficiencies of corporate performance. Using evidence from the post-communist transition economies, the paper shows that a policy of hard budget constraints cannot induce successful revenue restructuring, which requires entrepreneurial incentives inherent in certain ownership types (most notably, outside investors). The paper also shows that the policy of hard budget constraints falters when state firms, because of inferior revenue performance and less willingness to meet payment obligations, continue to pose a higher credit risk than privatized firms. The brunt of state firms' lower creditworthiness falls on state creditors. But the 'softness' of these creditors, while harmful in many ways, is not necessarily irrational, if it prevents the demise of firms that are in principle capable of successful restructuring through ownership changes.  相似文献

This paper considers the budget‐constraint problem where the government decides whether or not to impose a budget constraint on the public firm, assuming the public firm is less efficient than private firms. We find that imposing budget constraints on the public firm is the preferred choice because of the welfare‐improving effect. Our model suggests that the wage levels of the public firm can be lower or higher than those of private firms depending upon the degree of inefficiency. These results differ from Ishida and Matsushima's findings that in a unionized mixed duopoly, tight budget constraints can enhance social welfare when the public firm is as efficient as private firms.  相似文献

Using survey data on 157 large private Hungarian and Polish companies this paper investigates links between ownership structures and CEOs’ expectations with regard to sources of finance for investment. The Bayesian estimation is used to deal with the small sample restrictions, while classical methods provide robustness checks. We found a hump‐shaped relationship between ownership concentration and expectations of relying on public equity. The latter is most likely for firms where the largest investor owns between 25 percent and 49 percent of shares, just below the legal control threshold. More profitable firms rely on retained earnings for their investment finance, consistent with the ‘pecking order’ theory of financing. Finally, firms for which the largest shareholder is a domestic institutional investor are more likely to borrow from domestic banks.  相似文献

文章分析了税负对公司投资决策的影响.与民营控股股东不同,作为国有企业的最终股东,政府不仅可以获得与股权投资相关的收益,而且可以获得独占性的税收,独占性的税收收入越高,政府控股的私有收益越大.因此,国有企业在投资决策时不仅考虑税后现金流量,而且会关注相关的预期税负,这提高了国有企业的投资?预期税负敏感性;政府对税收的需求越大,国有企业的投资?预期税负敏感性越高.实证结果表明:(1)与民营控股上市公司相比,国有控股上市公司的投资与预期税负之间的负相关关系更弱;(2)随着注册地基础设施投资回报率的增加,国有控股上市公司的投资与预期税负之间的负相关性显著下降.因此,最大化税收收入也是国有企业投资决策的重要考虑因素.文章为我国股权结构在公司财务决策中的作用提供了新的研究视角.  相似文献

We study the dynamic link between real estate prices and firms' investment behaviors in China using a new Keynesian dynamic stochastic general equilibrium model. The model features heterogeneous production sectors in which private firms face discriminatory borrowing constraints while state-owned firms are not. Fitted to China's quarterly data from 2005Q3 to 2014Q4, the quantitative general equilibrium model enables us to identify the driving forces behind and the macroeconomic variables interacting with land price. It confirms the existence of the “collateral channel” in the private sector without bearing the potential endogeneity problems in empirical studies. More importantly, we identify a “crowding out” channel between private and state-owned firms caused by discriminatory financial constraints. The “crowding out” channel implies a negative relationship between real estate prices and the investment of state-owned firms, which has been documented in empirical research but short of explanation so far.  相似文献

预算软约束已成为国有企业改革的阻碍因素,并影响经济转型期的政企、银企关系,而政府对于债务的软预算约束是企业信贷违约的原因之一,根据企业还贷过程中相关利益者的相互博弈,建立一个企业、银行、政府之间三方博弈模型来分析它们之间的行为及其目标差异对企业信贷违约的影响。模型分析表明:政府出于政治和经济利益的考虑,通过补贴银行和企业来实施对企业还贷的软预算约束,而银行在衡量了政府补贴和清算得失之后有可能对企业再贷款。解决预算软约束和企业信贷违约的关键在于"政府、银行、企业"之间的关系处理,企业完全按市场化运作,建立科学的法人治理结构,让政府从企业中逐步退出,硬化企业的预算约束环境,从而降低企业的信贷违约的概率。  相似文献

We examine and analyze the post-privatization corporate governance of a sample of 52 newly privatized Egyptian firms over a period of 10 years, from 1995 to 2005. We look at the ownership structure that results from privatization and its evolution; the determinants of private ownership concentration; and the impact of private ownership concentration, identity and board composition on firm performance. We find that the state gives up control over time to the private sector, but still controls, on average, more than 35% of these firms. We also document a trend in private ownership concentration over time, mostly to the benefit of foreign investors. Firm size, sales growth, industry affiliation, and timing and method of privatization seem to play a key role in determining private ownership concentration. Ownership concentration and ownership identity, in particular foreign investors, prove to have a positive impact on firm performance, while employee ownership concentration has a negative one. The higher proportion of outside directors and the change in the board composition following privatization have a positive effect on firm performance. These results could have some important policy implications where private ownership by foreign investors seems to add more value to firms, while selling state-owned enterprises (SOEs) to employees is not recommended. Also, the state is highly advised to relinquish control and allow for changes in the board of directors following privatization as changing ownership, per se, might not have a positive impact on firm performance unless it is coupled with a new management style.  相似文献

CEO的财务经历有利于其做出合理的融资决策和投资决策,从而有助于降低企业融资约束。以2000—2013年沪深A股上市公司作为研究对象,本文实证检验结果证明了笔者的这一假设。该结论在控制内生性以及采用其他指标衡量融资约束等稳健性检验之后仍然成立。进一步检验结果表明,在外部融资条件较差时,CEO财务经历对于缓解融资约束的作用更为显著;同时,CEO财务经历有助于企业提高投资绩效。这表明了具有财务经历的CEO通过提高企业外部融资能力和投资决策的合理性,从而缓解企业融资约束。本文在丰富高阶梯队理论和融资约束领域文献的同时,对于上市公司制定科学合理的CEO聘任决策以及缓解融资约束等方面有重要的启示。  相似文献
