企业财务核心能力是企业在既定财务战略下,运用各种现有或潜在的财务资源,通过长期不断地整合企业基本财务能力和公司治理能力逐渐形成的。企业要培育和提升财务核心能力必须深入分析基于公司治理的财务核心能力形成机理,在完善公司股东会、董事会与经营者之间关系的组织架构下,通过公司治理与财务核心能力的良性互动,来优化公司治理结构、提升财务核心能力。因而,以可持续盈利成长能力为核心,在充分考虑公司治理与财务核心能力互动关系的前提下,运用层次分析法(AHP)构建的基于公司治理的财务核心能力综合评价模型能比较科学评估企业财务核心能力的强弱状况。  相似文献

随着我国市场经济的发展和企业间竞争程度日趋激烈,越来越多的企业开始对核心能力的识别与提升给予重视。"企业核心能力"己经成为企业生存与发展的重要部分,从长远的角度看,对企业发展的可持续性发挥着重要作用。H园林公司自成立以来凭借其核心技术在天津及国内其他沿海城市的盐碱地绿化市场占有了较高份额。目前,企业正处上市筹备和市场扩张的关键时期,对其进行核心能力的研究对企业的发展具有一定的参考价值和现实意义。本文通过运用企业核心能力的理论工具,立足于H公司的行业环境和内部资源能力状况,并通过运用企业核心能力评价指标模型,采用定性与定量相结合的研究方法对H园林公司的核心能力进行实证分析与评价,找出制约其提高整体核心能力水平的关键因素,并对企业核心能力的提升提出了针对性建议,希望能为核心能力理论应用研究和企业实践提供借鉴。  相似文献

This paper examines the interaction effects of restructuring activities for a sample of Australian firms experiencing significant declines in operating performance. Our sample firms respond to performance shocks with both financial and corporate restructuring and they achieve significant improvements in operating profits in each of the first 3 years following the shocks. We find that financial and corporate restructuring have both contemporaneous and lagged impact on operating performance. Most importantly, we show that the interaction of restructuring events has a strong influence on the corporate recovery process. We conclude that financial and corporate restructuring play complementary as well as interactive role in reversing a declining trend in operating profits.  相似文献

Japan of the post-bubble era is the object of much reflection and speculation pertaining to risutora or restructuring of the economy. This study provides a novel, analytical perspective on the fundamental issues involved in the shift of momentum that characterizes Japanese business and economic restructuring. After examining the economic and corporate dimensions of the transitional forces that shape Japan's restructuring process, this study focuses on two powerful, yet often ignored, agents of change: the emergence of a new class of collaborative mandates, kyosei, and the rise of consumer power. The study further emphasizes the importance of planning and managing corporate-level restructuring activities with the interests of end users in mind, by empirically demonstrating the significance of strategic alliances, as a corporate restructuring option, on consumers. The results show that consumers' impression of alliances with Japanese firms have a strong effect on future attitudes toward each partnering brand. © 1996 John Wiley & Sons, Inc.  相似文献

股权分置是我国经济转型和资本市场发展过程中的特殊现象。股权分置改革的完成导致上市公司股权结构发生了重大变化,直接影响了上市公司的治理效率和业绩水平。本文对上市公司股权构成及股权集中度对公司绩效影响的实证研究表明:股权分置改革有效地降低了股权结构中各因素对公司绩效的负向影响,同时加强了股权集中度对公司治理绩效的正向作用,使得上市公司的治理绩效得到明显提升。  相似文献

The article analyses the role of private equity (PE) in restructuring the UK corporate economy. It develops a theoretical synthesis to show that the evolution of the PE industry and firms in which it invested were governed by the relations of corporate governance between investor and investee companies. Effective governance relations were a necessary condition for success and complement firm specific resources to create competitive advantage. Four case studies are used to show the contrasting effects of these determining factors, Industrial and Commercial Finance Corporation (ICFC) and Slater Walker, and the two waves of buy-out centred restructuring that developed with the maturity of the PE industry after 1980. In contrast to the evolutionary approach, the periodisations utilised in this study show that structural breaks associated with points of institutional reform are also necessary to make firm specific resource and governance determinants of competitive advantage operable.  相似文献

Since 1979 the Ford Motor Co. has attempted to introduce fundamental changes in its corporate strategy, management structure and labour relations. This article focuses on the impact of corporate restructuring on the management of Ford UK. Significant changes in industrial relations and work organisation have been tempered by strong continuities with Ford's maintenance of its traditional management prerogative. The most profound changes have been achieved in product development which has moved from functional hierarchy towards project management. Ford's interpretation of Japanese ‘lean production’ has been a significant factor shaping Ford's corporate agenda in America and Europe.  相似文献

The treatment of employees during downsizing and corporate restructuring raises many ethical issues. To provide a common framework for understanding ethical decisions facing organizations delivering the news of dismissal to affected employees, Integrative Social Contracts Theory and the research on social exchange was used to integrate existing research on employee dismissal. Of particular importance was determining the criteria necessary to manage the dismissal process within ethical boundaries. Three basic criteria, which together represent a variety of contractual and transactional obligations, are proposed as necessary for an ethical approach to dismissal; 1) advance warning of the job loss, 2) open communication, and 3) institutionalized support services. The frequency with which organizations meet these criteria is examined using a geographically dispersed, cross-organizational sample of 770 involuntarily displaced professional employees. In addition, the effect of such an ethical approach to dismissal on individual psychological and financial outcomes is examined. Findings are discussed as they relate to the implicit contract between employee and employer and organizations' responsibility to employees during corporate restructuring.  相似文献

Like other industrial sectors with significant – ‘pillar’ – importance in China's overall economy and development, oil and petrochemicals are governed by state-owned business groups. In this context, ‘corporate governance’ of these groups is of fundamental interest. This study probes corporate governance of 31 national oil and petrochemical business groups by examining their structure, development and business activities in the period from 2007 to 2011. The post-1998 restructuring of China's qiyejituan business groups, their related party transactions and related party corporate finance all yield insight into how property rights are decisive in how corporate governance based on governmentality – or the interrelation of corporate, state and social relations – is structured. This study sheds light on how China's big business policy and governance of the state-business interface progresses in a socialist market economy. It has clear implications international trade and investment as well as multinational corporations doing business with China.  相似文献

The paper begins to explore and unravel the intricate relationship between corporate strategy and labour market restructuring within the UK food retailing industry during the late 1980s and early 1990s. It is argued that the increasingly diverse and heterogeneous nature of part-time working within UK food retailing has facilitated the metamorphosis of the corporate strategies employed by the major UK food retailers away from ones dominated by productivity enhancement of the new ‘Super-Service’ era. The introduction of Super-Service is shown to have had significant qualitative effects on the working practices and quality of work experienced by part-time workers within UK food retailing.  相似文献

优化企业文化,完善知识管理的技术系统,以消除各种影响知识共享的障碍。必须使企业调整或再造组织结构,清除传统金字塔型结构给知识传递设置的羁绊,使组织结构趋向扁平化。但必须看到,知识共享是一种手段而不是目的,任何知识共享的举措必须有助于企业解决其外部发展和内部整合问题,这样才有利于实现企业的发展战略。  相似文献
