我国上市公司再融资与公司治理研究

在我国,上市公司有着强烈的股权融资倾向,而在众多股权再融资方式中,定向增发是最受市场青睐的。通过实证研究可以发现,我国上市公司实施的定向增发都具有积极的短期公告效应,但对公司的长期价值却没有明显的改善,而且大股东认购比例越高,短期公告效应越强,长期公司绩效越差。大股东利用定向增发对自己进行利益输送是造成这一现象的重要原因之一。通过构建财富再分配模型讨论大股东在定向增发中的利益输送问题,并利用回归分析考察公司内部治理结构各因素和外部监管环境对这一利益输送的制约效果。最后,从公司内外部治理结构角度提出了相应对策,以期能够让我国股权再融资回到完善公司治理、提升公司市场价值的正轨上来。     

定向增发:低价发行的偏好分析

本文以2006、2007年两年股权定向增发的上市公司为研究样本,研究上市公司股权定向增发价格选择的倾向偏好及其对中小股东利益的影响。研究表明:上市公司定向增发并不是以再融资为目的,股权定向增发普遍具有低价发行的偏好;通过股权的低价发行,帮助大股东获得了更多的控制权利益,在企业集团整体上市中尤为明显。因此,市场监管者应当进一步细化定向增发定价的管理,促进我国资本市场的健康稳定发展。     

股权激励的股票从哪来

实施股权激励的上市公司一般通过定向增发、大股东出让、向二级市场回购来作为股权激励的股票来源。通过定向增发可以增加公司的资本金;通过大股东出让,大股东还可以回收部分投资。但在全流通模式下,如果股权过于分散,大股东股权比例较低,那么无论是定向增发还是大股东出让,都有可能进一步降低大股东的股权比例,削弱其对公司的控制力度,增加被收购的风险。     

我国上市公司定向增发折扣影响因素研究

本文以2006年至2010年成功进行定向增发的上市公司为样本,研究了定向增发折价的形成原因。研究发现,大股东的机会主义行为是定向增发折价的重要成因。当大股东购买定向增发股票的比例与其增发前持有的公司股权比例差额越大时,即大股东机会主义行为动机越强时,增发折价越高。这一结果表明,大股东通过定向增发这一方式成功地实现了利益输送。不过只有在市场行情较好的情况下,大股东及关联方才能通过定向增发顺利实现其利益输送和财富转移的目的。     

定向增发中的发行折价与利益输送模型研究

为了考察大股东参与背景下的定向增发折价现象和利益输送行为,并分析利益输送具体影响因素,本文研究了中国上市公司定向增发发行折价现象,发现有大股东参与的定向增发折价程度更高。同时,大股东参与定向增发时折价与利益输送之间虽然具有相关性,但不能仅通过折价水平来解释大股东利益输送行为。因此本文引入认购类型、增发前市场特征、上市公司资产规模等公司特征和增发特征,构建了折价影响因素回归模型和利益输送影响因素对比回归模型。     

大股东制衡机制与定向增发隧道效应研究

基于股权分置改革后定向增发的现实情况,本文从大股东制衡的视角,以我国2008-2009年定向增发的上市公司为研究对象,重点探讨了定向增发的隧道行为和大股东制衡机制对上市公司定向增发折价的影响。研究表明第一大股东有更大的动机和能力利用定向增发进行隧道行为,前五大股东的持股比例、大股东联合控制力、大股东间的制衡度在一定程度上会约束定向增发的隧道行为。     

定向增发中控股股东行为研究

在我国资本市场中,由于股权高度集中的特点,控股股东行为很大程度上影响着上市公司的决策行为。随着2006年股权分置改革后,大股东与小股东的利益趋向一致,股权融资方式也在发生着变化,定向增发已经成为上市公司股权再融资的最主要方式。那么,在定向增发股权再融资方式下,控股股东行为有哪些特点？本文试图研究定向增发下控股股东的行为特点。     

融资优序、定向增发公告效应

无论是从税盾效应还是从信息不对称而言,股权融资都是次于债务融资以及内部融资的选择,然而我国上市公司对股权融资则具有独特的偏好。为此,通过时间研究法计算新华医疗在2013年的一次定向增发前后的累计超额收益率,分析增发的股价效应,并以2010-2015年间定向增发上市公司为研究对象,通过描述性统计研究总体上定向增发企业的特征。     

定向增发与利益输送行为研究——来自中国资本市场的经验证据

研究普遍认为,定向增发过程会伴随利益输送行为,并主要以压低发行价格作为输送途径。但统计数据表明,定向增发企业的市盈率远远高于公开增发企业的市盈率。为此,本文以定向增发新股折扣率作为切入点,通过多元回归研究了控股股东参与认购、以非现金资产作为认购方式、定价基准日距首次发行日时间间隔、上市公司前十大股东持股比例大幅增长等因素是否以及如何影响发行价格。研究发现,定向增发的利益输送方式是多样的,而不仅局限于压低发行价格。     

股权集中度对定向增发折价影响的实证研究

文章以我国2008年6月30日-2009年5月30日期间进行定向增发的上市公司为样本,对上市公司股权集中度对定向增发折价的影响进行了实证研究,研究结果表明：上市公司的定向增发的折价水平与股权集中度正相关。文章还通过一个简单的模型证明了定向增发的折价水平越大,大股东在定向增发行为中的＂掏空＂程度越严重,因此得出结论：上市公司股权集中度越高,控股大股东越有可能利用定向增发折价这一隐蔽的手段侵占中小股东的利益。文章的结论对投资者进行投资决策、政府监管部门制定相应的法律法规保护中小投资者的利益具有一定的借鉴意义。
