Who Appoints Them,What Do They Do? Evidence on Outside Directors from Japan   总被引:1,自引:0,他引:1  
Although reformers often claim Japanese firms appoint inefficiently few outside directors, the logic of market competition suggests otherwise. Given the competitive product, service, and capital markets in Japan, the firms that survive should disproportionately be firms that tend to appoint boards approaching their firm‐specifically optimal structure. The resulting debate thus suggests a test: do firms with more outsiders do better? If Japanese firms do maintain suboptimal numbers of outsiders, then those with more outsiders should outperform those with fewer; if market constraints instead drive them toward their firm‐specific optimum, then firm characteristics may determine board structure, but firm performance should show no observable relation to that structure. We explore the issue with data on the 1000 largest exchange‐listed Japanese firms from 1986 to 1994. We first ask which firms tend to appoint which outsiders to their boards. We find the appointments decidedly nonrandom. Firms appoint directors from the banking industry when they borrow heavily, when they have fewer mortgageable assets, or when they are themselves in the service and finance industry. They appoint retired government bureaucrats when they are in construction and sell a large fraction of their output to government agencies, and they appoint other retired business executives when they have a dominant parent corporation or when they are in the construction industry and sell heavily to the private sector. Coupling OLS regressions with two‐stage estimates on a subset of the data, we then ask whether the firms with more outside directors outperform those with fewer, and find that they do not. Instead, the regressions suggest—exactly as the logic of market competition predicts—that firms choose boards appropriate to them.  相似文献

This article develops a context‐sensitive approach to analyse how and why voice operates in small‐ to medium‐sized enterprises (SMEs), an area that remains under‐theorised and under‐researched. By building on a priori frameworks with proven ability to unpack complexity and take account of the wider context of SMEs, this article explores how resources (human and social capital) and constraints (product market, labour market and strategic orientation) interact to shape voice practices. The article finds significant differences between ‘reported’ compared with ‘actual’ practices in situ, and identifies different types of firms (‘strategic market regulation’, ‘strategic market‐led’ and ‘non‐strategic market‐led’) along with the factors that influence the form and practice of voice. Overall, the article argues that researchers should further pursue research that appreciates the layered nature of ontology and the role played by firm context to explain complex organisational phenomena, if we are to advance our understanding of voice practices in SMEs and beyond.  相似文献

The study assesses net employment effects of technical progress, which can be expected by the ongoing transition from end‐of‐pipe technologies towards cleaner production. Empirical evidence is presented on the basis of case studies and firm data including a telephone survey from German industry. The main result is that the transition from end‐of‐pipe technologies to cleaner production leads to a net creation of jobs, which is however restricted to a only small number of firms and to the group of highly skilled labour. Eco‐innovations, like other innovations, are non‐neutral. The demand for skilled and highly skilled labour rises while the demand for unskilled labour decreases. Synergies between environmental, labour market and innovation policy are apparent but they are however small and specific. The exploitation of these synergies requires the design of specific policy programmes differentiating between types of eco‐innovation. The promotion of product‐integrated environmental measures should be more successful if new products complement older ones, while process‐integrated environmental measures should be more successful if consumers' demand is more price elastic. Why do businesses such as fast‐food restaurants, coffee shops, and hotels cluster? In the classic analysis of Hotelling, firms cluster to attract consumers who have travel costs. We present an alternative model where firms cluster because one firm is free riding on another firm's information about market demand. One consequence of this free riding is that an informed firm might forego a market that it knows to be profitable. Furthermore, an uninformed firm might earn higher profits when research costs are high, because it can credibly commit to ignorance.  相似文献

Low‐wage work is of growing significance in the UK. This article tests the model of the low‐skills equilibrium (LSE) through a study of 27 small firms in a sector, food manufacturing, widely identified as being in an LSE. Three hypotheses are tested. (1) There will be a single, fixed equilibrium. We find more variety, reflecting the specific circumstances of firms. (2) An equilibrium is sustained by weak support institutions and a product market dominated by low value‐added goods. The expectation about institutions is supported, but the product market permitted some, albeit weak, opportunities to escape the LSE. (3) Skills will be low, and workplace regimes will be characterised by work intensification. Some firms were developing employee skills. Work intensification was rare, reflecting the absence of Taylorisation and the importance of face‐to‐face relationships. Overall, some firms had the will to escape the LSE, but weak institutional support and a ready supply of labour substantially reduced the incentives to do so.  相似文献

Consistent with two models of imperfect competition in the labor market—the efficient bargaining model and the monopsony model—we provide two extensions of a microeconomic version of Hall's framework for estimating price‐cost margins. We show that both product and labor market imperfections generate a wedge between factor elasticities in the production function and their corresponding shares in revenue, which can be characterized by a ‘joint market imperfections parameter’. Using an unbalanced panel of 10,646 French firms in 38 manufacturing industries over the period 1978–2001, we can classify these industries into six different regimes depending on the type of competition in the product and the labor market. By far the most predominant regime is one of imperfect competition in the product market and efficient bargaining in the labor market (IC‐EB), followed by a regime of imperfect competition in the product market and perfect competition or right‐to‐manage bargaining in the labor market (IC‐PR), and by a regime of perfect competition in the product market and monopsony in the labor market (PC‐MO). For each of these three predominant regimes, we assess within‐regime firm differences in the estimated average price‐cost mark‐up and rent sharing or labor supply elasticity parameters, following the Swamy methodology to determine the degree of true firm dispersion. To assess the plausibility of our findings in the case of the dominant regime (IC‐EB), we also relate our industry and firm‐level estimates of price‐cost mark‐up and extent of rent sharing to industry characteristics and firm‐specific variables respectively. Why do competing platforms or networks exist? This paper focuses on instances where the value of a platform depends on the adoption decisions of a small number of firms, and analyzes the strategic competition among platforms to get this oligopolistic side on‐board. I study a bilateral contracting game among platforms and firms that allows for general externalities across both contracting and noncontracting partners, and examine when a market will sustain a single or multiple platforms. When firms can join only one platform, I provide conditions under which market‐tipping and/or market‐splitting equilibria may exist. In particular, even without coordination failure, congestion effects, or firm multihoming, multiple platforms can co‐exist in equilibrium despite being inefficient from the perspective of the contracting parties. Expanding the contracting space to include contingent contracts may exacerbate this inefficiency.  相似文献

This paper analyses the creation of innovative opportunities through research collaborations. It contributes by (i) providing an evolutionary conceptual framework for the formation and exploitation of innovative opportunities through research collaboration; and by (ii) providing an empirical illustration of this framework by applying it to a case study of firms׳ research collaboration taking place in university–industry research centers in engineering. The evolutionary framework developed specifically focuses on the generation of novelty and variety and on selection pressures as key for the creation of opportunities. It also emphasizes the differences between small and large firms when it comes to role of research collaboration for opportunity creation. Empirically, we illustrate that firms in general focus more on the generation of variety in the form of (fundamental) knowledge, than on research collaboration leading directly to the formation and exploitation of opportunities. For large firms, the focus is rather to transfer this created variety back to the firm, to use for inputs into the in-house creation of opportunities. In contrast, small firms focus instead on using research collaboration to generate and develop knowledge about customer needs in order to create market opportunities, especially through networking with large firms participating in the collaboration.  相似文献

abstract Careers are central to our understanding of the knowledge creation dynamics of network organizations. Based on the example of R&D project collaboration between firms and universities, this paper examines the emerging forms of career models that support knowledge flows between organizations. It explores how some large firms in the high‐technology sectors have sought to break away from the limitations of internal R&D and firm‐based careers for scientists by engaging in external collaborative projects to gain access to the open knowledge networks of university researchers. It examines how the firms seek to forge close institutional ties with their university partners and develop network career structures in order to engage academic scientists in joint knowledge production. It argues that firms have sought to extend their human resource and knowledge boundaries into the established internal labour markets of the universities with which they collaborate, leading to the formation of a pool of joint human resources with work experiences and career patterns straddling the two sectors. The paper develops the concept of an ‘overlapping internal labour market’ to provide a conceptual bridge between internal labour markets and network organizations.  相似文献

We examine labour productivity in small, medium and large firms that broadly distribute stock options under starkly different market conditions – during the bull (1995–7) and bear (2000–2) stock markets. We find greater labour output in both upward and downward markets in all firm size categories, with the exception of small firms in a declining market, where the productivity is also greater, but the statistical significance of the result is weak.  相似文献

This article is concerned with the problem of labour scarcity in the road haulage industry and how it affects small firms. The recruitment and retention of lorry drivers is critically important for the industry because driving is no longer seen as an attractive occupation, and there are worries that there is an insufficient supply of new recruits to replace the experienced drivers who are leaving the industry. In order to investigate this issue, we make use of a modified version of the resource‐based view (RBV) of the firm, focusing on the notion that a minimum set of ‘table stakes’(HR practices) is necessary for the continued survival of small firms. Drawing on longitudinal data from seven small road haulage companies, we argue that owner‐managers have developed an astute combination of path‐dependent and socially complex networking abilities, embedded within an extensive understanding of both product and local labour markets. We conclude that the RBV needs extending to make greater allowance for different ownership goals and diversity in markets, and to consider the forces that promote similarity rather than difference among firms within an industry.  相似文献

ABSTRACT The issue of vertical firm boundaries continues to attract interest both for economics and management research. The transaction cost economics approach, emphasizing transaction‐specific assets and opportunism in order to explain discrete ‘make‐or‐buy’ decisions, dominates the literature. Nevertheless, alternative perspectives, developed under the guise of the capabilities, competence or knowledge‐based theories of the firm, have gained attention recently. They focus on the evolutionary dynamics of boundaries in the context of the division of labour among firms in an industry and on what is to be divided and co‐ordinated – i.e. productive knowledge. The conceptual links between this line of research, which some refer to as neo‐Marshallian, and the Industrial Networks approach are explored in this paper. The paper emphasizes both a vision of firms as sets of direct and indirect capabilities, developed and combined in different ways over time, and the connectedness between inter‐firm relationships. The discussion is illustrated with the cases of two firms, which are contrasted in terms of the dynamic evolution of their boundaries. The analysis made supports the argument that firms’ vertical boundaries reflect their relationships with specific counterparts and the way they address through time the division and integration of knowledge through the configuration of direct and indirect, counterpart specific, capabilities.  相似文献

This paper introduces collective bargaining at the firm and at the sector level into the heterogeneous firm model of Melitz and Ottaviano (Melitz, M. J., Ottaviano, G. I. P., 2008. Market size, trade, and productivity. Review of Economic Studies 75 (1), 295-316). It then analyses how the two bargaining regimes change aggregate industry productivity and firm performance relative to a competitive labour market. While sector-level bargaining forces the least productive firms to exit and thus increases average productivity relative to the competitive benchmark, firm-level bargaining allows less productive firms to stay in the market and thus reduces average productivity. Sector-level bargaining also results in higher average output and profit levels than either firm-level bargaining or a competitive labour market. The paper also shows that the choice between sector- and firm-level bargaining can involve a trade-off between product variety and product prices: Not only the average price level but also product variety tends to be lower under sector-level bargaining than under firm-level bargaining.  相似文献

We examine whether audit quality varies across different sizes of CPA firms under high or low auditor‐specific litigation risk exposure. We measure audit quality by the issuance of modified audit opinions and the audit fees charged to clients, and we use the organizational form of CPA firms as the proxy for auditors’ litigation risk exposure, where a partnership (limited liability) CPA firm represents a high (low) litigation risk exposure. Built on Choi, Kim, Liu, and Simunic's (2008) theoretical framework, we hypothesize that the litigation risk exposure of CPA firm moderates the association between auditor size and audit quality. Our results show that when the auditor's liability is capped (i.e., registered as a limited liability form of CPA firm), larger size CPA firms are associated with higher audit quality when compared to smaller size CPA firms. However, this positive association between auditor size and audit quality disappears for audit firms that are subject to high litigation risk exposures (i.e., registered as a partnership form of CPA firm). Our research provides new insights on the impact of auditor‐specific litigation risks on the relation between audit quality and auditor size. In particular, we show that only when auditor‐specific litigation risk is limited, do large CPA firms appear to perform higher quality audits than small CPA firms.  相似文献

Researchers have widely studied the nexus between corporate environmental (“green”) policy and its green performance and firm financial performance, but with mixed findings. A potential explanation for these mixed findings is the focus of extant studies on the direct and immediate impact of environmental performance on financial performance to the exclusion of firm‐specific boundary conditions. Furthermore, all prior research study the effect of environmental performance on either stock market‐based performance measures (i.e., stock return) or accounting‐based performance measures (i.e., return on assets). A missing third dimension of firm performance, product–market‐based performance (i.e., market share), has so far remained unexplored despite representing a crucial objective when innovating. Using Newsweek's annual green ranking as a novel measure of environmental performance for a panel of U.S. firms from 2010 to 2015, this paper attempts to fill these voids in the literature. The results show a positive relationship between firms' environmental performance and market share as a measure of product–market‐based performance. The findings further demonstrate that this relationship is positively moderated by the level of customer awareness and innovativeness of the firm: The higher the level of awareness of a firm's environmental credentials and innovativeness, the stronger the effects of environmental performance on market share. Our results are robust against endogeneity concerns and alternative measures of firm financial and environmental performance.  相似文献

The article studies the driving forces of firm training using a survey‐based dataset of manufacturing firms in the Emilia‐Romagna region, Northern Italy. The data are derived from the responses to a structured questionnaire administered in 2002 to the management of a representative sample of firms with more than 50 employees in the highly industrialised province of Reggio Emilia. Firms’ training choices are analysed using a theoretical/conceptual framework based on the notion of complementarity among productive factors. Training is provided as long as it favours the establishment of complementary relationships among the skills it develops and other inputs. The main factors associated with training include structural characteristics, HRM practices, workforce features, labour management and performance of the firm. Training activities emerge as being positively associated with organisational practices that affect the whole firm: workforce skill level, firm size, firm productivity and labour flexibility. The role of HRM practices in driving training is brought into question. These are key issues for the current debate on the development of local systems in the European and Italian context. The high and joint relevance of structural variables and labour demand‐related factors shows that regional industrial policies must support labour policies within an integrated policy effort aimed at increasing potential firm productivity.  相似文献

The adoption of cleaner technology (CT) has the potential to play an important role in tackling the impacts of business on climate change on business. It is therefore important to understand the factors motivating the adoption of CT in business. Using a technology–firm–stakeholder framework, this study proposes a perception‐based model for the adoption of CT for climate proactivity that is tested against data collected from 106 firms in India. Six factors are tested using a logistic regression and five are found to be significant in distinguishing adopter firms from non‐adopter firms. The results suggest that the perception‐based model using a technology–firm–stakeholder framework is a useful approach for examining factors affecting the adoption decision. While techno‐economic benefits are perceived to be higher by adopter firms than by non‐adopter firms, other benefits are not perceived differently by either adopter or non‐adopter firms. In addition, adopter firms perceive lower financial costs and higher technical capability than non‐adopter firms do. Also, adopter firms perceive higher regulatory pressure but lower stakeholder pressure than non‐adopter firms do. Implications of the findings and future research areas are discussed. I exploit a 2009 reform that introduced individual fishing quotas (catch shares) for Peruvian anchovy—the largest fishery in the world—to assess the causal impact of production quotas on within‐firm productivity and market prices. Unique features of the data allow me to create two alternative counterfactuals: (i) anchovy fishing operations in a region of the country that was mandated to implement quotas with a delay, and (ii) variation in quota allocations across ships. I find that quotas do not increase within‐asset or within‐firm productivity in quantities. Instead, a 200% increase in anchovy prices benefits extraction firms through higher revenues, consistent with two mechanisms enacted by individual fishing quotas: more orderly industry operations reducing excess supply and an increase in bargaining power of extraction firms with respect to fish‐processing. Several market characteristics across geographies differentially affect market prices after the quota regime. Supplementary evidence on fewer operational infractions, higher product quality, and a lower banking delinquency observed during the quota regime suggests the existence of efficiency gains rather than purely rent transfers.  相似文献

A growing trend in employment practices is for firms to concentrate on their core functions and outsource peripheral activities. While an assessment of the economic benefits of outsourcing has been the subject of a number of research projects, little attempt has been made to evaluate the impact of such practices on employee commitment. This is the purpose of this paper. The central questions are can employees be committed to their employer and to their host enterprise, and what determines each form of commitment? The research is based on a survey of employees working for a major labour hire firm. The key finding of the research is that employees can have a dual commitment, although different factors influence commitment to the employer and to the host firm.  相似文献

Drawing on research on innovation as knowledge combination and firm’s organizational boundaries the paper contributes to open the black box of a firm’s sourcing strategy, investigating how the new knowledge a project aims to develop affects sourcing decisions. The fine-grained level of investigation adopted, namely the project level, not only enhances the understanding of the antecedents of sourcing decisions in any single project but provides primary explorative evidence on the concept of a company sourcing strategy as a portfolio of decisions across projects. Our test is implemented on a sample of 60 New Product Development projects carried out by a group of leading Italian firms, operating in the machine tool industry. We identify two knowledge dimensions that are the determinants of sourcing decisions at project level: novelty, new functions that satisfy emergent market needs, and breadth, heterogeneity of technological fields that encompass possible solutions to product problems. Our findings show that in firms choosing sourcing configurations on a project-by-project basis, exploratory projects, which search at the frontiers of either novel product features or heterogeneous technological domains, spur firms to exploit the potential advantages of external sources.  相似文献
