本文以2006年12月31日以前在中国上市的1162个上市公司为样本,用实证方法研究公司治理结构对内部控制有效性的影响。研究发现:年终股东大会出席率与公司内部控制有效性显著正相关;国有控股公司在财务报告质量上显著优于其他公司;董事会实际规模和监事会规模与公司绩效显著正相关;董事长兼任总经理会显著降低财务报告质量;设立审计委员会与公司绩效显著正相关;管理层的诚信和道德价值观念与公司内部控制有效性显著正相关;管理者的风险偏好与内部控制有效性呈显著的 U 型关系;管理层对员工胜任能力的重视程度与公司经营绩效和对法律法规遵循显著正相关;董事会监事会两会会议频率和第一大股东的控制力对内部控制有效性没有显著影响。  相似文献

We analyse the relationship between female directors and payout policy for a sample of non-financial Spanish listed firms. Based on the critical mass theory, we find an inverted-U shaped relationship. For low levels of female representation in the board, women directors increase dividends in order to reduce agency conflicts, and improve reputation or legitimacy. However, after an inflection point, characteristics traditionally associated to women, such as risk aversion, a conservative and prudent financial attitude, and lower overconfidence emerge and reduce dividend payments. Moreover, our results suggest that female directors play a very different role with the controlling shareholder, depending on what family ties exist. Women directors who have family connections with the dominant shareholder exhibit the same inverted-U shaped relationship with dividends. In contrast, for female directors with no family ties, the relationship with dividends is U-shaped. Our results show the faultlines within the group of female directors depending on the relationship with the family owners, and that the influence of non-family female directors only arises when this group of women gain enough power, visibility, authority, and legitimacy.  相似文献

本文以代理理论为指导,运用我国制造业上市公司调查数据和公开数据,考察了公司治理对财务控制的影响。实证研究发现,第一大股东持股比例、独立董事制度、董事会活跃程度等因素对财务控制效果有显著影响。改善财务控制需要从公司治理方面入手,包括建立健全约束大股东行为的相关机制,提高董事会独立性作为制衡大股东的重要措施,运用组合治理机制,实现对财务控制的再控制;多元化经营的公司要重视企业集团的内部治理,重视财务控制系统的更新与变革。  相似文献

Many corporations reward their outside directors with a modest fee for each board meeting they attend. Using a large panel data set on director attendance behavior in publicly-listed firms for the period 1996–2003, we provide robust evidence that directors are less likely to have attendance problems at board meetings when board meeting fees are higher. This is surprising since meeting fees, on average roughly $1,000, represent an arguably small fraction of the total wealth of a representative director in our sample. Thus, corporate directors appear to perform for even very small financial rewards.  相似文献

本文从成本粘性这一视角,研究了董事会留有前任总经理对公司资源调整的影响。结果发现,董事会留有前任总经理会提高成本粘性,此效应在管理层持股比例较低、非国有控制和行业竞争程度较低的公司中更强;进一步研究还发现,前任总经理无论是留任为董事长还是其他董事,都会提高成本粘性;无论是在家族企业还是非家族企业,董事会留有前任总经理均能提高成本粘性。上述结果表明董事会留有前任总经理会导致公司资源投入“易增难减”,其原因是前任总经理会阻止公司向下调整资源。从前任总经理积累的知识、经验和社会关系对资源调整成本的影响和前任总经理对现任管理层代理问题的影响这两个视角不能完全解释上述结果。本文既从成本粘性这一视角增进了我们对董事会留有前任总经理的经济后果的认识,也从董事会留有前任总经理这一视角丰富了成本粘性影响因素的研究,有助于政府部门规范公司在董事会中留任前任总经理的行为,对公司通过调整董事会结构以提高资源配置效率也具有启示意义。  相似文献

Affirmative action and diversity continue to be contentious issues in the United States. Financial markets are still reeling from the effects of Enron, WorldCom and other corporate exemplars of corruption and malfeasance. The role of the board of directors in these scandals is the subject of serious and ongoing concern. Weak and/or ineffectual boards are often the consequences of “old-boy networks” and a lack of diversity in membership. This research study argues for an increased presence of gender and race diversity on boards of directors. Empirical evidence is presented that shows a significant increase in the presence of ethnic minorities and females when pictures of board members are included in annual reports. We suggest that requiring pictures of board members in annual reports and regulatory filings would result in a larger presence for gender and race diversity on boards of directors. This requirement is not a significant burden and merely represents compliance with the spirit and intent of the “full disclosure” principle.  相似文献

We investigate the relation between board composition and operational risk events of financial institutions in the period from 1996 to 2010. Drawing from corporate governance literature, we consider the impact of board characteristics on the likelihood of operational risk events. Overall, our findings suggest that board size is negatively and non-linearly associated with the possibility of operational risk events. For the event types of “Clients, Products, and Business Practices,” and “Internal Fraud and External Fraud,” firms with a higher proportion of independent directors are less likely to suffer from fraud or failure to comply with professional obligations to clients. Our results on age and tenure heterogeneity also indicate that having a more diverse board can have an adverse impact on the board monitoring function. These results can shed new light on board demographics and operational risk management in financial institutions.  相似文献

We examine the relationship between firm performance and corporate governance in microfinance institutions (MFI) using a self-constructed global dataset on MFIs collected from third-party rating agencies. Using random effects panel data estimations, we study the effects of board and CEO characteristics, firm ownership type, customer-firm relationship, and competition and regulation on an MFI’s financial performance and outreach to poor clients. We find that financial performance improves with local rather than international directors, an internal board auditor, and a female CEO. The number of credit clients increase with CEO/chairman duality. Outreach is lower in the case of lending to individuals than in the case of group lending. We find no difference between non-profit organisations and shareholder firms in financial performance and outreach, and we find that bank regulation has no effect. The results underline the need for an industry specific approach to MFI governance.  相似文献
