随着社会责任理论与实践的发展,将社会责任落实到公司治理机制中已是大势所趋,然而传统以委托代理关系为核心的公司治理理论体系无法为二者的融合提供坚实理论基础,导致实践中表现为公司治理对社会责任的 "被动回应"。在价值创造导向下重新审视公司治理理论体系,可以突破委托代理关系为核心的局限,将公司治理界定为服务于企业价值创造目标的制度安排,而在价值创造过程中,企业社会责任又是一种日益重要的因素,因此,公司治理与社会责任之间便具有了严格的内在逻辑关系,公司治理应将社会责任 "内生嵌入"于其理论和实践体系中。  相似文献

在内部控制审计强制执行以及公司治理与企业社会责任融合的背景下,基于综合社会契约理论构建了公司治理与企业社会责任的动态整合框架,即价值创造—利益均衡—责任承担模型,系统分析了在整合框架中公司治理与企业社会责任的双向互动关系以及内部控制审计在整合框架中所发挥的作用,拓展了公司治理与企业社会责任之间相关关系的研究视角,丰富了内部控制审计改革与发展的理论依据。研究发现,内部控制审计对公司治理与企业社会责任的双向互动过程进行调节,在价值创造、利益均衡和责任承担环节中分别发挥着提高透明度、防范风险,促进公平、公正以及监督与约束的作用。内部控制审计的有效执行将有利于规范企业行为,提高公司治理水平,促进企业履行社会责任。  相似文献

根据信号传递理论和公司治理理论,运用上市公司连续五年的数据,对控股股东股权质押与企业社会责任的关系及二者的共同效应对企业技术创新的影响进行实证研究。结果表明:一是受融资约束的影响,股权质押会降低企业履行社会责任的积极性;二是履行社会责任能提高技术创新水平;三是控股股东股权质押在较大程度上弱化企业社会责任履行对企业技术创新的促进作用。  相似文献

本文认为,在社会身份理论与信号理论的基础上,公司的企业社会责任与声誉及作为雇主的吸引力存在正向相关性。这一结果表明,公司的企业社会责任可能可以为企业在吸引人才方面提供竞争优势。这一结果也丰富了企业社会责任与竞争优势方面的理论研究。本文在参考外国研究的基础上,研究了中国企业在企业社会责任与企业竞争力的关系。  相似文献

公司社会责任理论认为,公司作为一个责任主体,不仅要为股东提供利润回报,还要对其他利益相关者承担一定的责任。本文研究发现,公司治理因素是影响社会责任履行的主要因素,健全有效的内外部公司治理有助于企业社会责任的履行,企业社会责任也可以推动公司治理的有效改善和良性发展。最后基于公司治理和商业道德的视角,提出如何履行企业社会责任的机制。  相似文献

企业社会责任和利益相关者理论原本作为社会学和管理学交叉学科里两个相互独立的部分,前者探讨企业与社会的关系,后者研究社会各相关群体与企业的关系.到20世纪90年代,公司社会责任研究与利益相关者理论出现了融合的趋势.一方面,利益相关者理论明晰了社会责任的范围;另一方面,公司社会责任诸多现成的实证方法和实证结果,弥补了利益相关者理论在实证方面的不足.两者的结合相互补充、相互支持,为企业理论研究的发展提供了新思路、新领域和新方法  相似文献

财务报告的发展是会计发展的风向标,本文通过将企业社会责任分为四个从高到低的层次,并且将财务报告和社会责任的发展相配比,发现企业社会责任会随着二者的发展而进步,同时说明了会计发展与企业社会责任进步的关系。事实上,二者是相互促进,相互影响的,这为我们研究财务报告、信息披露的发展方向提供了一定的理论依据。  相似文献

以2009-2014年披露社会责任报告的A股上市公司为样本,研究会计稳健性与公司治理对企业社会责任报告印象管理的交互影响.结果表明:企业会计稳健性越高,社会责任报告印象管理程度越低;公司治理水平越高,社会责任报告印象管理程度越低;公司治理水平越高,会计稳健性对社会责任报告印象管理的抑制作用越小;反之,公司治理水平越低,会计稳健性对社会责任报告印象管理的抑制作用越大.会计稳健性和公司治理均有助于抑制企业社会责任报告印象管理行为,且具有替代关系,这种替代关系在非国有企业中更为显著.  相似文献

Corporate social responsibility (CSR) has been of interest in the past decade, but prior studies have not investigated the relationship between strong corporate governance and types of CSR activities. This study introduces the concept of professional CSR activities (which means CSR activities pursued in a formal organizational structure over a long period) and voluntary CSR activities (which means CSR activities pursued tentatively and individually) and how strong corporate governance has differential effects on the two types of CSR activities. Our empirical results show that the stronger the corporate governance is, the more professional CSR activities are encouraged.  相似文献

Based on annual data of listed companies on Shanghai Stock Exchange (SSE) through 2009–2013, this article examines three hypotheses: first, whether a firm’s taking corporate social responsibility (CSR) affects corporate performance; second, whether corporate governance and a firm’s age positively moderate the relationship between CSR and performance; and third, whether CSR positively moderates the magnitude/direction of linkage between a firm’s performance and top management/director compensation (pay-performance sensitivity, PPS). Three proxies for CSR engagement are constructed by a firm’s inclusion in the SSE Social Responsibility Index. Empirical evidence generally shows that firms engaging in CSR tend to obtain superior performance in terms of higher profitability. However, firm’s age and sound corporate governance have little additional benefit on the effect of a firm engaging in CSR on performance. Finally, greater CSR engagement is associated with larger PPS. Principal outcome does not shift under two-stage estimation and propensity score matching (PSM) to correct for sample self-selection of CSR engagement.  相似文献

This paper examines the impact of stakeholder governance on corporate social responsibility (CSR) to determine whether CSR is employed as a mechanism to mitigate conflicts of interest between managers and diverse stakeholders, or used as managerial perquisites. To examine this relation properly, we not only employ an extensive sample of international firms, but also mitigate endogeneity by using various econometric methods. We find that stakeholder governance positively influences firms' CSR engagement with a greater magnitude than board governance after controlling for confounding factors. Stakeholders' influence in CSR engagement is more pronounced when investor protections and board governance are relatively weak.  相似文献

This paper examines the relationship between corporate social responsibility (CSR) orientation and textual attributes of financial disclosures. Using a large U.S. sample from 1999 to 2017, we find that firms with high CSR orientation provide more readable disclosures and use a less ambiguous tone in their annual reports. These findings are consistent with the notion that managers in CSR-conscious firms adhere to high ethical standards and commit to improving the transparency of their firms' financial disclosures. Our results are robust to alternative measures of readability and CSR performance, potential endogeneity, and sampling methods. Moreover, in a cross-sectional analysis, we show that the impact of CSR on corporate readability/tone ambiguity is more pronounced for firms with weak corporate governance. Overall, the results suggest that CSR serves as a substitute for traditional corporate governance mechanisms to ensure transparent disclosure.  相似文献

This study examines whether corporate social responsibility (CSR) committees associate with the external assurance of CSR reports. Specifically, we consider the presence and effectiveness of CSR committees. Using a sample of Australian firms over the period 2004–2016, we show the mere presence of a CSR committee is not related to the external assurance of CSR. However, CSR committee effectiveness is positively related. In addition, firms with higher CSR committee effectiveness are more likely to seek external assurance provided by the Big4 accountancy firms and acquire financial audit and CSR assurance services from the same provider. Taken together, CSR committee effectiveness plays an active role in CSR assurance services. Our results are particularly relevant to those with interests in understanding the demand and choice of external CSR assurance services, as well as the impact of corporate governance mechanisms on these services.  相似文献

This study examines the relationship between firm corporate social responsibility (CSR) and CEO confidence. Research shows that CSR has a hedging feature. Research also shows that more confident CEOs underestimate firm risks, which, in turn, leads them to undertake relatively less hedging. Consistent with this, we find that CEO confidence is negatively related to the level of CSR. Closer analysis shows that this effect is stronger in the institutional aspects of CSR, such as community and workforce diversity, rather than in the technical aspects of CSR, such as corporate governance and product quality. Our results are robust to different competing explanations, including narcissism, which refers in this context to CEOs who engage in CSR to attract attention and alternative proxies for CSR and CEO confidence.  相似文献

In this paper, we examine the impact of stakeholder governance on corporate social responsibility (CSR) around the world to determine whether CSR is employed as a mechanism to mitigate conflicts of interest between managers and diverse stakeholders, or used as managerial perquisites. To examine this relation properly, we not only employ a large and extensive sample of international firms, but also control for endogeneity by using dynamic panel generalized method of moments (GMM), propensity score matching, and difference-in-difference approach. Our results suggest that stakeholder governance positively influences firms’ CSR engagement with a greater magnitude than board governance after controlling for endogeneity and other confounding factors of traditional corporate governance mechanisms, firm characteristics and national factors. Stakeholders’ influence in CSR engagement is more prevalent when investor protections and board governance are relatively weak.  相似文献

This paper investigates the relationship between corporate social responsibility (CSR) and corporate tax avoidance and the impact of consumer awareness on the constructs. We show that consumer awareness has the effect of decreasing the positive relation between CSR ratings and tax avoidance levels. Our findings are robust to various measures of our constructs. Collectively, the findings of this study lend credence to the risk-management view of CSR and demonstrate that consumer awareness acts as a behavioral intervention and governance mechanism to help mitigate corporate hypocrisy.  相似文献

企业承担社会责任究竟是“真心”还是“幌子”?与现有研究聚焦于考察社会责任对企业行为的影响不同,本文基于高管个体行为视角,实证检验企业社会责任对高管个体证券交易行为的影响。基于2008~2014年中国沪深A股上市公司高管10338个内幕交易样本的实证结果显示:(1)企业承担社会责任不仅能抑制高管内幕交易的规模,更能显著降低高管内幕交易获利性,这表明作为社会责任的谋划者,企业高管并未以社会责任为“幌子”牟取个人证券交易的私利,在一定程度上提供了企业“真心”承担社会责任的证据;(2)进一步从“信息模型”和“声誉模型”双重视角探究发现,在企业信息不透明和高管个人声誉较差的情况下,企业社会责任对高管内幕交易获利性的抑制作用更为显著;并且相较于高管个人声誉较差的情况,企业社会责任在信息不透明的情况下对高管内幕交易获利性的抑制作用更强。总之,本研究从高管个体行为视角提供了企业社会责任具有积极治理作用的证据,不仅丰富了企业承担社会责任经济后果的研究,同时,对利益相关者也具有实践指导意义。  相似文献
