Abstract:   This study investigates differences in earnings management practices of Korea Stock Exchange (KSE) firms and KOSDAQ (a Korean version of the NASDAQ market) firms during the period of 1996–1997. A sample of 1,256 KSE and 577 KOSDAQ firm‐year observations is used to compare earnings management practices of firms listed in the two different stock exchanges. The results of the study reveal that KOSDAQ firms tend to more actively manipulate earnings to avoid losses than KSE firms. KOSDAQ firms generally tend to increase reported earnings more aggressively than KSE firms when their operating cash flows are poor, and play down their reported earnings more when their operating cash flows are exceptionally good. The results of the study are quite robust in the sense that more aggressive earnings management practices of KOSDAQ firms persist even when operating cash flows are controlled.  相似文献

This paper conducts an empirical investigation of the relationship between information asymmetry and earnings management predicted by Dye (1988) and Trueman and Titman (1988). When information asymmetry is high, stakeholders do not have sufficient resources, incentives, or access to relevant information to monitor manager's actions, which gives rise to the practice of earnings management (Schipper, 1989; Warfield et al., 1995). Empirical results suggest a systematic relationship between the magnitude of information asymmetry and the level of earnings management in two different settings.  相似文献

Abstract:   This paper analyses the relevance of two different reasons for banks to acquire firms' stock: the increase of agency costs in the lending relationship (the agency costs hypothesis), and participation in the expected profits of undervalued firms (the information asymmetry hypothesis). Results indicate not only that banks make equity investments for both reasons but also that the market exploits their lending decisions to learn which of the two motivations was in play. Bank equity investments concurrent with reductions in bank debt are consistent with the agency costs hypothesis, whereas bank equity investments concurrent with increases in bank debt are consistent with the information asymmetry hypothesis.  相似文献

We examine earnings management practices of insider controlled firms across 22 countries to shed light on the link between consumption of private benefits and earnings management. Insider controlled firms are associated with more earnings management than noninsider controlled firms in weak investor protection countries. Consistent with the private benefits motive, insider controlled firms with greater divergence between cash‐flow rights and control rights are associated with more earnings management in these countries. Growth opportunities attenuate the association between insider control and earnings management even in weak investor protection countries. We also find some weak evidence that insider controlled firms are associated with less earnings management in strong investor protection countries. Overall, our results highlight a strong link between private benefits consumption and earnings management.  相似文献

Private Equity Syndication: Agency Costs, Reputation and Collaboration   总被引:1,自引:0,他引:1  
Abstract:  Syndicates are a form of inter-firm alliance in which two or more private equity firms invest together in an investee firm and share a joint pay-off, and are an enduring feature of the leveraged buyout (LBO) and private equity industry. This study examines the relationship between syndication and agency costs at the investor-investee level, and the extent to which the reputation and the network position of the lead investor mediate this relationship. We examine this relationship using a sample of 1,122 buyout investments by 80 private equity companies in the UK between 1993 and 2006. Our findings show that where agency costs are highest, and hence ex-post monitoring by the lead investor is more important, syndication is less likely to occur. The negative relationship between agency costs and syndication, however, is alleviated by the reputation and network position of the lead investor firm.  相似文献

This paper provides evidence that all-equity firms exhibit greater levels of managerial stockholdings, more extensive family relationships among top management, and higher liquidity positions than a matched sample of levered firms. Further, top managers of all-equity firms with family involvement in corporate operations have greater control of corporate voting rights than managers of all-equity firms without family involvement. These findings are consistent with the interpretation that managerial control of voting rights and family relationships among senior managers are important factors in the decision to eliminate leverage.  相似文献

Earnings Predictability, Information Asymmetry, and Market Liquidity   总被引:4,自引:1,他引:4  
We investigate the relation between earnings predictability, information asymmetry and the behavior of the adverse selection cost component of the bid-ask spread around quarterly earnings announcements for NASDAQ firms. While we find an increase in the adverse selection component of the bid-ask spread on the day of and the day prior to quarterly earnings announcements for firms with less predictable earnings, we find no evidence of such changes for firms with more predictable earnings. During a non-announcement period, we find that firms with relatively less predictable earnings have consistently higher total bid-ask spreads than firms with more predictable earnings. This finding suggests that firms with relatively less predictable earnings have a higher cost of equity capital than comparable firms with more predictable earning streams, ceteris paribus. Hence, earnings predictability may be a legitimate concern of managers who wish to minimize their cost of equity capital at least as it pertains to bid-ask spreads.  相似文献

Abstract:  This study examines whether firms with profits before accruals management are more likely than firms with losses before accruals management to meet or exceed earnings benchmarks when pre-managed earnings are below those benchmarks. We extend Brown (2001) by documenting that the differential propensity to achieve earnings benchmarks by profitable and nonprofitable firms results from differential accruals management behavior. We find that firms with profits before accruals management are more likely than firms with losses before accruals management to have pre-managed earnings below both analysts' forecasts and prior period earnings and reported earnings above these benchmarks.  相似文献

We examine optimal capital allocation and managerial compensationin a firm with two investment projects (divisions) each runby a risk-neutral manager who can provide (i) (unverifiable)information about project quality and (ii) (unverifiable) accessto value-enhancing, but privately costly resources. The optimalmanagerial compensation contract offers greater performancepay and a lower salary when managers report that their projectis higher quality. The firm generally underinvests in capitaland managers underutilize resources (relative to first-best).We also derive cross-sectional predictions about the sensitivityof investment in one division to the quality of investment opportunitiesin the other division, and the relative importance of division-leveland firm-level performance-based pay in managerial compensationcontracts.  相似文献

The joint determination of capital structure and investment risk is examined. Optimal capital structure reflects both the tax advantages of debt less default costs (Modigliani and Miller (1958, 1963)), and the agency costs resulting from asset substitution (Jensen and Meckling (1976)). Agency costs restrict leverage and debt maturity and increase yield spreads, but their importance is small for the range of environments considered. Risk management is also examined. Hedging permits greater leverage. Even when a firm cannot precommit to hedging, it will still do so. Surprisingly, hedging benefits often are greater when agency costs are low.  相似文献

Recent theoretical work on the bid-ask spread asserts that the dealer should widen the bid-ask spread when he or she suspects that the information advantage possessed by informed traders has increased. Thus, the dealer's spread can be employed to test for an increase in information asymmetry prior to an anticipated information event. In this paper, the method is applied to earnings and dividend announcements, which have been documented to be information events. The authors study three groups of announcements: (a) joint announcements—i.e., earnings and dividend announcements that are made on the same day, (b) initial (first) announcements—earnings or dividend announcements that were not preceded by another announcement in the prior thirty days, and (c) following (second) announcements—those announcements that follow the first announcement by at least ten days but by no more than thirty days. The authors find a strong increase in information asymmetry only before the second announcements and virtually no increase before the joint and first announcements. This is consistent with the hypothesis that there is, on average, normal information asymmetry before announcements, but that the dealer will suspect a nonroutine announcement (with an attendant increase in information asymmetry) when the second announcement is separated from the first by more than ten days. Other possible explanations for the results are discussed, and suggestions for future research are outlined.  相似文献

This paper examines evidence of earnings management pertaining to regulatory-imposed wealth transfers (i.e., political costs) over business cycles. The sample consists of firms subject to merger-related antitrust investigation under Section 7 of the Clayton Act. Industrial organization literature, together with the political cost hypothesis, suggests that these firms' earnings management incentives may vary over national business cycles. Our results indicate that investigated firms do indeed choose income-decreasing discretionary accruals during expansions but not during recessions, in order to reduce the political costs associated with Clayton Act cases.  相似文献

盈余管理和信息风险是影响审计意见的两个重要因素。已有研究主要关注当期盈余管理与审计意见的关系,少有关注信息风险对审计意见的影响。本文运用我国上市公司的数据,同时研究盈余管理和信息风险对审计意见的影响。检验结果表明,公司的信息风险与审计师出具非标意见概率显著正相关,而当期盈余管理与审计师出具非标意见的概率无显著相关性。这表明,审计师出具审计意见时主要考虑信息风险,而没有证据表明审计师出具审计意见时考虑了盈余管理。本文的研究结论深化了已有审计意见和审计质量决定因素方面的研究。  相似文献

避免亏损的盈余管理程度:上市公司与非上市公司的比较   总被引:19,自引:1,他引:19  
本文以非上市公司盈余管理程度作为基准,运用参数估计的方法,对股票市场是否提高了公司盈余管理程度的问题进行研究。研究结论显示,1998年至2004年我国上市公司与非上市公司每年都存在避免亏损的盈余管理;在上市公司中,盈余管理公司比例为15.87%,它们提高ROA数据0.0122;在非上市公司中,盈余管理公司比例则只有5.49%,它们提高ROA数据0.0009。上市公司盈余管理频率大约为非上市公司的3倍,平均盈余管理幅度大约为非上市公司的13倍;两类公司盈余管理程度差异随着时间的推移而不断增大,因为非上市公司盈余管理程度在年度上的分布比较稳定,而上市公司盈余管理程度则随着时间的推移而不断增大。研究结论表明,股票市场提高了公司的盈余管理程度。  相似文献

与西方发达市场相比,我国会计师事务所产生于政府挂靠体制,政府干预过多;上市公司多由国有企业改制而来,国家持股比例较多,上市公司受到当地政府保护等,使得我国的独立审计具有强烈的地域特色,本地事务所多在当地招揽客户,其审计过程明显受到当地政府的干预。鉴于此,我国政府于1999年开始要求会计师事务所与其挂靠单位脱钩,经过这几年的发展,有必要考察目前本地/异地事务所的审计质量差异是否巳消除。本文使用2002—2004年在沪深两市上市的A股公司数据,考察了会计事务所的地域特征对其盈余这理抑制能力的影响。本文使用可操控性应计的绝对值和非经常性损益的绝对值衡量上市公司的盈余管理程度,使用两步回归控制事务所的自选择偏误,结果发现,异地事务所对盈余管理的抑制能力显著强于本地事务所。  相似文献

基于上市公司多次被收购这一现象,本文以2007-2015年我国发生并购的上市公司为研究样本,探讨了盈余管理对企业再次被收购概率及并购后绩效的影响,以及企业履行信息披露义务发挥的作用.研究发现:(1)公司盈余管理提高了再次被收购的可能性,被收购取得的短期绩效更好但长期绩效更差.(2)公司积极履行信息披露义务会削弱盈余管理与再次被收购概率及并购后市场反应之间的正向关系、削弱盈余管理与再次被收购后长期绩效之间的反向关系.(3)中介效应分析结果表明,盈余管理程度越高的企业,分析师跟踪程度越高,因而再次被收购的可能性越大.本文丰富了目标公司特征的研究,同时对并购重组信息披露管理办法及市场中介监管条例的制定具有参考价值.  相似文献

In this study we investigate the valuation implications of managerial actions undertaken by 57 Internet firms engaged in Business-to-Business (B2B) e-commerce. We classify 3,007 managerial actions undertaken by our sample firms between the firm's IPO date and September 30, 2000 into nine action categories: (1) acquisition of major customers, (2) introduction of new products and services, (3) promotional and marketing actions, (4) actions taken to address the concerns of stakeholders such as employees and the community at large, (5) announcements of technology, marketing, and distribution alliances, (6) completion of acquisitions, (7) expansion into international markets, (8) management team building actions, and (9) organizational changes.
In the short window tests, we find a significant increase in stock price volatility over a three-day event window surrounding the announcement of almost all actions suggesting that announcement of managerial actions provides value-relevant information to the stock market. In the long window tests, we use factor analysis to group the counts of managerial actions taken by each firm over its post-IPO life into two broad managerial initiatives—market penetration and organization building. These two initiatives explain a substantial portion of the cross-sectional variation in the firms' post-IPO life stock market returns beyond that explained by both reported earnings and analysts' forecasts of future earnings and revenues. Thus, investors appear to supplement relatively meager accounting information with data about the cross-sectional intensity of managerial actions in setting stock prices of B2B Internet firms.  相似文献

Thailand has sought to increase farmers' access to credit bygovernment intervention. In 1966 it created a government agriculturalbank to lend solely to farm households, and beginning in thelate 1970s it required commercial banks to lend heavily in therural sector, either directly or by making deposits in the agriculturalbank. The result was an enormous expansion of credit in therural sector. But because formal lenders were either unableor unwilling to solve the information problems involved in thebroad range of rural credit transactions, the informal creditsector (which charged interest rates many times higher thanthe formal sector) continued to thrive. Using household surveysand surveys of moneylenders, this article provides a detailedanalysis of the ways in which lenders in the informal sectorhave solved the information problems of providing credit. Theauthors argue that the informal sector is competitive, and thathigh interest rates reflect high information costs, not thescarcity of funds.  相似文献

We compare dividend policies of U.S. and Japanese firms, partitioning the Japanese data into keiretsu, independent, and hybrid firms. We examine the correlation between dividend changes and stock returns, and the reluctance to change dividends. Results are consistent with the joint hypotheses that Japanese firms, particularly keiretsu-member firms, face less information asymmetry and fewer agency conflicts than U.S. firms, and that information asymmetries and/or agency conflicts affect dividend policy. Japanese firms experience smaller stock price reactions to dividend omissions and initiations, they are less reluctant to omit and cut dividends, and their dividends are more responsive to earnings changes.  相似文献
