This article assesses the validity of John Maynard Keynes' claim that the Lancashire cotton industry failed to restructure because the banks as debt holders prevented firms exiting the industry, creating persistent over-capacity. Using case studies from a substantial sample of Lancashire firms, the article explores archival evidence to establish their financial characteristics, to examine their equity and debt finance and the governance roles of directors and outside ownerhip groups. On the basis of this review the article develops hypotheses to suggest alternatives to the view that bank debt was the dominant explantion of firm level behaviour and industry failure. Applying these to a statistical dataset, results show that syndicates of local shareholders, not banks, were an important impediment to the exit of firms. Moreover, syndicates milked firms of any profits through dividends, thereby limiting reinvestment and re-equipment possibilities. Our results show that where laissez-faire fails in response to a crisis, incumbent investors, particularly block-holders, can be an important impediment to corporate restructuring.  相似文献

We prove a version of First Fundamental Theorem of Asset Pricing under transaction costs for discrete‐time markets with dividend‐paying securities. Specifically, we show that the no‐arbitrage condition under the efficient friction assumption is equivalent to the existence of a risk‐neutral measure. We derive dual representations for the superhedging ask and subhedging bid price processes of a contingent claim contract. Within the last 20 years, a number of traditional small-medium enterprises (SMEs) have accelerated their international commitment by investing in distant countries despite limited market knowledge, limited use of networks, and limited international experience of the entrepreneurs. The purpose of this paper is to draw research attention to this phenomenon and to compliment the existing literature on internationalization process of SMEs.We argue that traditional SMEs are able to speed up their internationalization process by, thus, rapidly catching up with the increasing global competition. The peculiar path followed by SMEs is described by analyzing five case firms and explained by contrasting to the leading literature. The empirical evidence suggests that specific strategic focus (as opposed to knowledge-intensity, international network, and international experience) is the determinant success aspect of the change in the internationalization process.  相似文献

Policy makers are increasingly recognizing the catalytic role of academics’ spin-off companies in a national economy, which derives from their innovativeness that result in new value generation, and job creation. Although research on academics’ spin-off companies has been increasing, knowledge gaps exist as to the specific determinants and processes that characterize the emergence of academics’ entrepreneurial intentions that lead them to spin off companies. This research aims to fill this gap. Drawing from psychological and entrepreneurship research on intentionality, the authors propose a conceptual model of academics’ entrepreneurial intentions. They empirically test the model using structural equation modeling and a robust data set collected in two European academic settings to guide future research on this important topic.  相似文献

This article assesses the environmental and economic efficiency of three different approaches to treat monitoring uncertainty in climate policy, namely prescribing uncertainty, setting minimum certainty thresholds and pricing uncertainty through a discount. Our model of the behavior of profit-maximizing agents demonstrates that under the simplest set of assumptions the regulator has no interest in reducing monitoring uncertainty. However, in the presence of information asymmetry, monitoring uncertainty may hamper the economic and environmental performance of climate policy due to adverse selection. In a mandatory policy, prescribing a reasonable level of uncertainty is preferable if the regulator has enough information to determine this level. For voluntary mechanisms, such as carbon offsets, allowing agents to set their own monitoring uncertainty below a maximum threshold or discounting carbon revenues in proportion to monitoring uncertainty are the best approaches for the regulator to mitigate the negative effects of information asymmetry. These conclusions are much more pronounced when agents do not accrue revenues from their mitigation action, other than carbon. Our analysis of monitoring uncertainty under information asymmetry, which results in heterogeneity in the agents’ benefits from abatement, generalizes the classical trade-off between production efficiency and information rents.  相似文献

The main purpose of this study is to provide stronger quantitative evidence in the field of organizational absorptive capacity research by using a more direct measure of absorptive capacity and a wide range of variables in a cross-nationally tested structural model. The results show that there exist two kinds of absorptive capacity: demand-pull and science-push. Their most important determinants proved to be internal R&D, training of personnel, innovation co-operation and attitude toward change. Both kinds of absorptive capacity are positively related to product and process innovation output. Therefore, absorptive capacity is to be given more attention in the future research and innovation policy considerations.  相似文献

GeneralizedM-estimates (minimum contrast estimates) and their asymptotically equivalent approximate versions are considered. A relatively simple condition is found which is equivalent with consistency of all approximateM-estimates under wide assumptions about the model. This condition is applied in several directions. (i) A more easily verifiable condition equivalent with consistency of all approximateM-estimates is derived and illustrated on models with stationary and ergodic observations. (ii) A condition sufficient for inconsistency of all approximateM-estimates is obtained and illustrated on models with i.i.d. observations. (iii) A simple necessary and sufficient condition for consistency of all approximateM-estimates in linear regression with i.i.d. errors is found. This condition is weaker than sufficient conditions for consistency ofM-estimators known from the literature. In most decentralized organizations, goods and services are transferred between divisions. These transfers are frequently recorded in the accounting books of the divisions; the term transfer price refers to the dollar amount of the interdivisional exchange. This study considers two main issues: (i) the costs and the benefits of delegating decisions through a system of transfer pricing and divisional performance evaluation, and (ii) the performance of one common method of pricing intrafirm transactions: cost-based transfer pricing.The study analyzes a firm in which each divisional manager has better information about the divisional environment than what is known by the firm's top management. The first half of the paper demonstrates that the firm can attain the optimal level of profits with a compensation system utilizing (i) reports by divisional managers describing in complete detail each manager's private information, and (ii) divisional performance evaluation with cost-based transfer pricing. Next, a situation is considered in which divisional managers are not able to communicate their private information to the firm's top management because of complexity of divisional environments or managers' specialized expertise. In this bounded-rationality setting, a managerial-compensation system employing cost-based transfer pricing allows the firm to earn strictly higher expected profits than if all decisions are made by the firm's top management relying on divisional managers' reports.Financial support from the Unisys Corporation is gratefully acknowledged.  相似文献
