世界各国法律几乎都规定辩护律师对其在执业过程中所知悉的秘密负有保密义务,中国也不例外。有些国家在规定辩护律师(下文所称的律师均指辩护律师)保密义务的同时也赋予他们一定的保密权利,而中国法律仅仅强调律师的保密义务而未明确规定律师的保密权。因此,应当具体分析中国存在的有关律师保密问题的立法缺陷,通过学习并借鉴有关国家的先进规定,从而提出完善中国律师保密权制度的建议。  相似文献

Water is a human right and it is essential to sustain life and livelihoods, as well as the health and happiness of tourists. This paper examines a destination with ample rain, but rapid and unchecked tourism development: Bali, Indonesia. The mismanagement of water resources means underground supplies are polluted and local people suffer from water scarcity. A multi-method approach with the various stakeholders was used to develop a stakeholder map that identifies duty bearers and rights holders. The government is the primary legal duty bearer to provide communities with water, but companies also have unique responsibilities. This paper examines why tourism businesses need to conduct human rights impact assessments. Taking due diligence for human rights can be seen as a business opportunity, leading to reduced operating costs and increased reputational strength. 所有权和经营权的分离是社会生产力发展的要求,公司控制权是所有权和经营权之间矛盾运动的纽结,体现股东之间权利配置上的竞争性合作关系。它不仅顺应了生产力发展的要求,也有效降低了所有权和经营权分离的负面效应。公司控制权的发展存在独立化和工具化的趋势,使得股东之间权利配置失衡。在我国政企关系的历史路径背景下,防止公司控制权的滥用和保障公司控制权独立性是我国法律规制的重点。法律规制应与公司自治的基本理念相适应,以表决权的制度构造和对国有股权的监管为主要内容配置股东权利。  相似文献

Employee resistance has long been recognized as a key constraint on the success of organizational change initiatives. However, it is only recently that employee attitudes towards working in teams has been specifically investigated as a factor influencing team effectiveness. Using data from 218 employees in 40 self-managing work teams, we examined the relationship between trust, individualism, job characteristics and team members' attitudes towards teamwork. Providing a partial test of Mayer et al.'s (1995) relational model of trust, the results indicate that the two situational forms of trust (trust in co-workers and trust in management) were stronger predictors of an employee's preference for teamwork than propensity to trust. Trust in co-workers was found to partially mediate the relationship between a person's propensity to trust strangers and their preference for working in a team. The importance of considering the dispositional variables of propensity to trust and individualism as factors that influence an employee's preference for teamwork, as well as their trust in management, trust in co-workers and their opportunity for skill utilization are discussed.  相似文献

This paper presents a comparative study of the effects of national origin, a company's strategic orientation and its investment profile on preference for the application of human resource management (HRM) practices as conducted in international joint ventures (IJVs). The approach extends understanding by offering a broader exploration of how national differences generate additional barriers that impact on specific HRM practices. The evidence from the study presented suggests that there is little support for national origin being a major independent influence. National distinctiveness does define the types of integration between parent companies and IJVs, but these collaborations do not necessarily reflect any specific national institutional bias. Examination of eighty-seven IJVs suggests that IJV management has a high degree of organizational autonomy in the implementation of a company's task-related inputs regardless of the national background of the foreign partner. The presence of a company's task-related effects on HRM practices plays a significant contextual role where the major attributes are the technology, management development and the compatible use of an IJV's resources. The results confirm that there is little evidence to suggest that partner-related influences derived from the partners' complementary resources and competences in the field of HRM development that are national origin specific have had significant influence over HRM development in the IJVs studied.  相似文献

The Hungarian economy was based on central planning for several decades and in comparison with the dominance of the great organizations that consisted of many smaller units, the role of small-sized enterprises was marginal. The change in the political climate involved recognition of and belief in entrepreneurship and the new legal system increased the opportunity for setting up new enterprises established on private and joint capital. Nevertheless, the changes in the organizational system of companies within the national economy appear to concentrate in time and territory in Northern Hungary. Increasing unemployment inspires the start of numerous enterprises even when the experience of entrepreneurship is missing and, in addition, the inclination towards it. This may result in difficulties and danger and a study of North Hungarian small businesses is therefore useful.

The aim of this research is to examine the position of SMEs in the North Hungarian industrial area, concentrating on questions that can not be answered by means of traditional statistics. Data were collected by surveying questionnaires. The questions referred to the development of SMEs in North Hungary.

Finally, the elements in the economic environment that may hinder or help successful operation of the enterprises were analysed. With the experience gained by our investigation we would like to help in the reinforcement of SMEs working in Northern Hungary.  相似文献
