论加强对可转换转债券持有人的保护

2001年4月28日，中国证监会发布《上市公司发行可转换公司债券实施办法》。这是继1997年发布《可转换债券实施较行办法》后出台的又一重要文件，标志着我国证券市场正式接纳了一种新的金融工具：可转换公司债券。由于可转换债券有人在公司中的地位特殊，既不同于股东，也不同于普通债券持有人，其权利极易受到侵害，所以文章重点讨论了在各种情况下对可转换债券持有人的保护问题，以求对可转换债券在立法方面的完善。     

Problems of private industrial economic development and its countermeasures for Zigong City,Sichuan Province,China

The differences of regional economic development between underdeveloped areas and developed areas are mainly embodied by different levels of private economic development. Since 20-year reform and opening-up to the outside world, the private industry of Zigong has developed gradually, become more and more economically competitive, and played a more and more important role in the economic structure of Zigong. This paper analyzes the problems of private economy and its countermeasures based on the research on its status quo.     

Compensation System of Land Takeover in USA and Its Enlightenment to Our Country

According to the amendment to the U.S. Constitution, the 5^th article stipulates governmental entities expropriation of private property in particular land for public purposes, must pay reasonable compensation, and with due process of law. This paper analyzes features of the USA＇s fair compensation system of land takeover, discusses governmental actual process of land takeover and compensation approaching to specific issues. Finally, comparing with serious loss of farmland in our country, four onlightenments are drawn from USA＇s compensation system of land takeover.

Consideration for the Asia＇s Monetary Cooperation Based on the Theory of Optimum Currency Areas

According to the theory and the standard of Optimum Currency Areas, this paper analyzes the possibility of the Asia＇s monetary cooperation. Based on the current study, this paper points out that East Asia does not have the condition for the monetary cooperation and the cooperation can only be conducted in a comparatively low level; furthermore, in order to achieve the monetary integration and to form the Optimum Currency Areas, it is still a long way to go for Asian countries. All the Asia countries should work hard in the political and economic area. However, the common interests will make the monetary cooperation an irreversible trend.
