Using a sample of up to 2,503 initial public offerings (IPOs) in 32 countries from 2011–2017, we predict and find that higher levels of country-level accounting enforcement are associated with lower levels of IPO underpricing. IPOs in countries with a relatively low accounting enforcement score (second quintile) exhibit a mean underpricing of 19%, whereas the mean underpricing amounts to just 9% in countries with a relatively high score (fourth quintile). The results remain qualitatively the same when we employ a multi-level model or a difference-in-difference design. In countries that substantially strengthened their accounting enforcement in the 2003–2009 period, the level of IPO underpricing decreased significantly. We show that accounting enforcement matters for the cost of going public.  相似文献

We employ a sample of 748 environmentally-friendly (or “green”) firms listed on U.S. stock exchanges to extend studies of the effects of socially responsible investment (SRI) on stock investment returns and the performance of initial public offerings (IPOs) and seasoned equity offerings (SEOs). Our empirical tests document positive and statistically significant excess returns for our environmentally-friendly firms and their IPOs and SEOs, in contrast to our control IPO and SEO samples which underperform. In summary, a “green” equity premium is evident in returns calculated from a variety of benchmarks.  相似文献

Using content analysis, we measure the impact of soft information, derived from words in initial public offering (IPO) registration documents, on IPO pricing efficiency. First, using 2,298 U.S. IPOs from 1996–2008, we find that an IPO document's strategic tone correlates positively with the stock's first-day return; more frequent usage of positive and/or less frequent usage of negative strategic words leads to more IPO underpricing. Second, we find that an IPO document's strategic tone is negatively correlated with the stock's long-run return. Together, these findings imply that investors initially misprice soft information in registration statements, which mispricing is eventually corrected. Additionally, we create new content-analysis libraries for strategic words and introduce a survey-based library creation method and word-weighting system.  相似文献

This paper examines acquisitions of firms after they have undergone initial public offerings (IPOs). Combining insights from information economics with recent research on geographic distance in various market settings, the analysis investigates whether the presence or absence of different signals on IPO firms has an impact on the geographic proximity of acquirers. The central proposition we develop and test is that specific characteristics of IPOs—venture capitalist backing, investment bank reputation, and underpricing of issued shares—convey signals on these firms, which can facilitate acquisitions by more remote acquirers who are more likely to face the risk of adverse selection. This paper examines Hungarian privatisation strategy and the financial performance of privatised enterprises. The results suggest that Hungary has preferred privatisation by direct sales by a considerable margin, but has recently shifted towards share issues. Both types of sale have predominantly been gradual. Subsequent sales, however, confirm the government's intention to sell previously retained shares. An analysis of IPOs during 1990–1998 shows positive initial returns on Privatisation Initial Public Offers (PIPOs) and greater underpricing than for other IPOs. The long term returns of PIPOs are positive and they outperform other IPOs in all periods after the listing.  相似文献

本文从新股发行价格对各类信息的反应效率这一角度来研究核准制下新股发行定价效率问题。针对影响新股发行定价的信息因素具有多层次、多维度的特点,本文建立了一个有内在逻辑关系、能够较全面反映新股发行价格影响因素的理论框架,并采用协方差结构模型分析方法进行实证研究。结果显示:在核准制下新股价格基本上反映了内在价值因素和市场环境因素,具有一定的信息效率;而对发行因素反映的较少,缺乏这方面的信息效率。总体而言,我国新股发行定价的信息效率仍较为有限。  相似文献

文章从机构投资者持股规模、持股集中度、持股稳定性三个方面归纳不同类型机构投资者持股特征,采用Log-it回归检验机构投资者持股特征对上市后股票购买并持有异常回报率(BHAR),即IPOs长期绩效的影响。实证结果验证了机构投资者持股比例越高、持股稳定性越强,股票上市后的长期绩效越好;而持股比例低、持股集中度高、持股稳定性差的机构投资者也导致了股票长期表现较差。积极型机构投资者对股票长期绩效具有正面的影响。因此,引入积极型机构投资者符合当前我国股票市场深化改革的目标。  相似文献

The JOBS Act allows certain analysts to be more involved in the IPO process, but does not relax restrictions on analyst compensation structure. We find that these analysts initiate coverage that is more optimistically biased, less accurate, and generates smaller stock market reactions. Investors purchasing shares following these initiations lose over 3% of their investment by the firm's subsequent earnings release. By contrast, issuers, analysts, and investment banks appear to benefit from this increased bias, as optimism is more positively associated with proxies for firm visibility and investment banking revenues when analysts are involved in the IPO process.  相似文献
