试论我国公司监管理念与制度变革

早期的公司立法一般只注重对公司内部治理的规范而不太注重对公司外部监管的设计。随着社会经济的发展,政府干预市场理念的深入人心,人们的法治观念发生变化,公司监管成为公司立法的一个重要使命。我国现行公司监管立法比较重视公司设立过程中的监管而忽视经营过程中的监管,这是导致我国公司信用状况普遍不佳的重要原因。改革我国的公司监管制度就是要强化公司经营过程中的监管,与此同时,对设立过程中的监管应有所放松,否则会窒息公司应有的生命力。

On the Reform of Concept and System of Company's Supervision in China

In China, corporation's legislation used to pay much attention to the inner administration and pay little to the outer supervision of the corporation. However, with the development of social economy, more and more people begin to believe that corporations' outer supervision should be an important aspect of corporations' legislation. The current corporation law of China especially emphasizes supervision to the corporation in the establishing stage and ignores supervision in the managing stage. So the reform of our corporation's legislation is to strengthen the supervision in the managing stage.
