| 摘 要： | 本文对管理层收购(MBO)涉及的若干理论和现实问题进行了分析。从法学和经济学理论的角度对管理层收购概念本身进行了新的诠释,并通过对比中国与英、美等国管理层收购的不同之处指出中国的管理层收购不能盲目照搬,最后对管理层收购带来的中小股东利益的保护问题进行了分析且提出了相关的政策建议。
