| 摘 要： | 土地承包经营权入股是其他流转方式不可替代的,具有独立存在的价值与必要。入股流转的组织形式的选择不仅具有政策性,更具有法律性。从法律科学的角度分析,股份合作社与农民专业合作社均不宜作为土地承包经营权入股的对象。有限责任公司在法律特性上与土地承包经营权入股较为契合,是较为理想的入股组织形式。对于公司破产时农民面临的失地危险问题,赋予入股农民对土地承包经营权的优先购买权,构建土地承包经营权入股保险等制度创新可以有效避免其发生。
