| 摘 要： | 本文对现代公司治理结构的本质与分析方法进行了分析和探讨，并对国内外有关公司治理结构研究结果产生分歧的原因进行了剖析；在上述基础上，运用系统等方法诊断了中国上市公司治理结构的主要症结，提出了进一步完善中国上市公司治理结构的基本思路。

| Abstract: | The paper analyze and discuss the nature and analytical method of modern corporate governance, and analyze the diverging in domestic and oversea literature on corporate governance; Basing on above analytical conclusion, we use systemic and others methods to diagnose the mostly sticking point of China's listed companies' governance. At last, We put forward the preliminary ideal to perfect China's listed companies' governance. |
