| 摘 要： | 制度是决定民营企业竞争力的重要因素。从新制度经济学角度看，制约民营企业竞争力的制度问题主要存在于交易费用、产权、制度构成、制度变迁、制度供求均衡等方面。制度创新能促进民营企业竞争力的提高，途径是：清晰企业产权、实行股权多元化、强化资本运作、完善公司法人治理结构、保护知识产权、放松产业准入限制等。

| Abstract: | System is an important factor of private enterprise competence. According to the new institutional economics, system problem is the obstacle to the competence of private enterprises; these problems are relevant to transaction cost, ownership, system construction, system variance, and the equilibrium of system supply and demand, etc. System innovation is the promotion to the competence of private enterprises, the ways are followings： to make clear enterprise ownership, to implement diversity of stock shares, to enhance capital operation, to perfect corporate management structure, to protect intelligent right, to loose industry entrance restriction, etc. |
