银行分拆已成为银行并购反垄断救济的通行方式,有效的分拆机制一方面要能正确地挑选分拆买方,另一方面也要能有效地制约和防范并购方的策略性行为。在银行并购分拆中,参与者有并购管制机关、并购银行、分拆买方三方,分拆就是它们之间的博弈过程,特别是并购管制机关与并购银行间博弈的过程。并购管制机关设计有效的分拆政策必须研究并购银行在博弈过程中的策略性行为。并购银行的策略性行为表现为:一是并购银行与分拆买方的合谋行为;二是并购银行的道德风险。针对并购银行可能的策略性行为,银行并购的管制机关应在充分分析各种可能策略的基础上,有针对性地设计相应的机制安排。
