| 摘 要： | 董事会是现代公司治理的核心机制。我国董事会制度存在着董事会产生和运作不规范、董事责任淡化、结构不合理、业绩评价制度和激励机制不完善、独立董事制度不健全等问题。应从优化董事会结构、设立各种专门委员会、建立评估体系和完善激励机制、逐步完善独立董事制度等方面加以完善。

| Abstract: | The board of directors is the core mechanism which the modern company governs.Our country Board of directors System Existence Board of directors's production and the operation standard,the trustee responsibility do not desalinate,the structure unreasonable,the achievement appraisal system and the drive mechanism imperfect,the independent trustee system not perfect and so on the questions.Should from the optimized board of directors structure,set up each kind of technical committee,the establishment appraisal system and consummates the drive mechanism,consummates aspects and so on independent trustee system to consummate gradually. |
