| 摘 要： | 公司治理通过战略管理对企业绩效产生影响,战略管理是公司治理对企业绩效影响的关键中间变量,管理者的战略选择行为受公司内部治理和外部治理的约束。文章认为,需要从公司治理的层面对企业的战略管理进行审视,注重企业文化环境的营造和组织学习能力的提高。

| Abstract: | Corporate governance through strategic management affects firm performance;strategic management is the key variables of corporate governance's impact on firm performance.The managers' strategic choices are affected by internal governance and external governance constraints.This paper considers that corporate governance needs to be examined from the level of strategic management,and pay attention to the environment to create a corporate culture and organizational learning capabilities. |
