| 摘 要： | 委托代理理论是现代公司治理问题的基本分析框架,国有企业改革的难点之一就是解决委托代理问题。合资铁路公司作为铁路行业的国有企业,其委托代理关系具有不同于其他行业的特点,更加错综复杂。本文结合合资铁路公司委托代理链条中关系的特殊性,针对委托代理关系中存在的问题,提出了完善合资铁路公司激励约束机制的对策。

| Abstract: | The analytical framework of corporate gov ernance is based on the principal-agent theory.One of the difficulties of the reform of state-owned enterprises is to solve the principal-agent problem.Joint-venture railways,as state-owned enterprises of the rail industry,have more complicated principal-agent problems.In this paper,we analyzed the negative phenomenon and special nature existing in the principal-agent chain of joint-venture railways,and provided countermeasures to perfect the principal-agency relations. |
