美国收紧FDI国家安全审查新动向、影响以及对策

美国FDI国家安全审查已经严重阻碍中资企业赴美投资,近期美国又进一步收紧安全审查政策。基于此,本文首先阐述美国收紧FDI国家安全审查的主要内容,然后分析美国收紧安全审查的动因和影响并提出对策。研究发现FIRRMA赋予CFUIS更大的审查权并扩大监管审查的行业范围,这将进一步增加中资企业赴美投资的难度。建议短期内中资企业尽量规避大型和敏感交易、民营企业进一步发挥引领作用、更多选择财务投资和绿地投资,以及选择最恰当的交易方式。

The New Trend and Implication of U.S. Tightening the National Security Review of FDI and the Countermeasures

The FDI national security review has seriously hindered Chinese companies investing in the U.S. Recently the security reviews have been tightened further. Based on this, the paper firstly expounds the main contents of tightening FDI national security review, and then analyzes the reasons and effects of tightening FDI national security review and proposes countermeasures. The study found that FIRRMA gave CFUIS greater powers of review and expanded the scope of regulatory reviews, which will further make it harder for Chinese companies to invest in the U.S. It is suggested that in the short term, Chinese enterprises should try their best to avoid large and sensitive transactions, private enterprises should play a leading role, choose more financial investment and greenfield investment, and choose the most appropriate way to conclude the transaction.
