| 摘 要： | 公司治理问题是国企公司制改造的一个重要方面。基于公司治理的复杂性以及国有公司治理的特殊性，国有公司治理机制的安排更多地体现了建构论理性主义立法观，而非国有公司治理机制的选择则更多地契合进化论理性主义立法观。无论如何，中国公司治理机制的选择和建构，只能成为中国式的公司治理模式，其生命力也只能寓于生动丰富的中国公司治理实践之中。 |

| Abstract: | Corporate governance is one of the important aspects for the system reform of state-owned enterprises. Due to the complexity of corporate governance and the particularity of state-owned corporations, the arrangement of mechanism for state-owned corporation＇s governance reflects the legislative view of Constructivist rationalism more while the choice of mechanism for nonstate-owned corporation＇s governance agrees with Evolutionary rationalism more. Anyhow, the choose and construction of the corporate governance mechanism of China can only become ＂Chinese-style＂ and its vitality can only exist in the vivid and abundant practices of corporate governance of China. |
