中国上市公司自愿信息披露与公司治理结构的实证研究

本文以上市公司的公司治理与自愿信息披露为研究对象,通过随机抽取100家2005年度深交所上市A股公司为研究样本,对上市公司的公司治理结构与其自愿信息披露水平进行了实证研究。实证结果表明:自愿信息披露指数与第一大股东持股比例,董事长和总经理是否合一显著负相关;与第二大股东至第十大股东股权集中度显著正相关;董事会中独立董事比例和是否国有控股并无显著相关性;有外资法人参股的公司,更为自愿进行信息披露;完成股份全流通的公司倾向于自愿信息披露,但只在10%内显著。

Voluntary disclosure and governance have been one of the most active researches in the field of corporate finance.By means of sampling 100 data from SSE A-share companies at random in 2005,we did empirical investigation about governance structure and voluntary disclosure.Our job has indicated that the significant negative related relationship between index of voluntary disclosure and share ratio held by top 1 holder,whether chairman of board and the general manager are the same one person.In addition,the relationship between index of voluntary disclosure and concentration ratio of second to tenth top holder are significantly positive related.Furthermore,independent director ratio and state controlled share are not significant related.Lastly,the companies who complete all negotiable reform are tend to disclose their information voluntarily,but it's significance related within 10%.
