私募基金法律调控探析

私募基金即通过非公开方式面向特定对象募集资金而设立的基金。我国私募基金在资金规模方面远远超过公募基金,但我国目前还没有相应的立法对其加以规范。私募基金的存在,一方面对我国证券市场的发展具有重要意义;另一方面,由于缺乏配套法律、法规和政策监管,又存在诸多问题。因此,政府应当加紧制定和完善与私募基金有关的法律、法规和政策,明确其地位,再配之以严格的法律环境和监督制约。这样既可以顺应市场发展的大趋势,减少交易成本,又有利于它们的规范运作。

An Analysis of the Legal Regulation of Private Fund

Private fund is the fund that is collected from a given group in a nonpublic way.Although the scale of private fund is much bigger than public fund in China,there is no relevant law to regulate it at present.On the one hand,private fund is important to the development of China′s security market,while on the other hand,various problems have emerged due to lack of relevant laws,regulations and policy supervision.Therefore,the government should accelerate the enactment and perfection of laws,regulations and policies that are related to private fund.The position of private fund should be identified with strict legal environment and supervision imposed.This is in line with the tendency of market development.It can help to reduce the cost of transaction,and is conducive to the normative operation.
