| 摘 要： | 人力资本拥有剩余权利,必须解决人力资本经济价值的度量问题和人力资本的抵押问题.股票期权不仅承认人力资本所有者对企业剩余的重要贡献,而且通过股票市价的变化,有效地解决人力资本的度量和抵押问题,从而巧妙地实现人力资本剩余权利的分享.

| Abstract: | Human capital has surplus right. We should solve the problems of measuring its economic value and mortgaging human capital. Stock futures are not only the important contributions to enterprise surplus, hut also effectively solve the problems of measuring human capital and mortgaging through the change of stock market and tactically realiza the share of human capital surplus right. |
