| Abstract: | This article analyses the functions of independent director in the context of his introduction and development in China. Then according the characteristics of Chinese companies’ corporate governance structure, it reviews the functions and roles of independent director, Finally, the author examines the independent director’s supervising functions and the coordination with supervisory board, and puts forward some suggestions. |
