| 摘 要： | 在我国证券市场还不完善,各项制度不十分健全的情况下,上市公司控股股东凭借其绝对优势,在各项事务中一手遮天,中小股东权益长期受其侵犯;就目前状况来看,这种情况有愈演愈烈之势。本文通过分析此问题的现实表现,发现其主要原因在于中小股东自身实力单薄,上市公司股权结构不合理,相关法律不建全等。根据我国中小股东权益问题现状,本文建议应采取建立合理的股权结构,完善独立董事制度、基金机构,健全《公司法》、《证券法》等各项具体措施。
