| 摘 要： | 上市公司董事会规模与业绩呈倒"U"型,董事会规模过大或过小,都会对公司的经营产生不利的影响;董事长和总经理"二职合一"对于公司的发展有利;上市公司独立董事比例高低对公司业绩的影响并不显著,而独立董事的负责程度将直接影响到公司的经营绩效.

| Abstract: | The empirical research shows that it is showed the inverted "U"type between the board scale and the perfor-mance.The over-big or over-small scale of the board will also exert the adverse influence on the management of corpora-tions.The cooperation of the chairman of the board and the general manager will exert the advantage influence on the devel-opment of corporations.The proportion of the independent directors of listed companies will not affect the company's perfor-mance,but the degree of responsibility ... |
