| 摘 要： | 对新《公司法》将原《公司法》中，公司高级管理人员“不得将公司资金借贷给他人”的禁止性规范，修改为在一定条件下可行的程序性规范提出质疑。分析了它与现行《贷款通则》的矛盾与冲突，揭示了它在理论上的不适应性，以厦在实践中的危害性。

| Abstract: | The author raises a query to the modification of the prohibitive norm of former Corporation Law — “corporation senior management must not lend corporate capital to other people”, which is now to be a workably procedural norm under certain conditions in up-to-date Corporation Law. The author analyses the contradiction and conflict between this norm and the current General Rule on Loan, reveals its theoretical inadaptability and harmfulness in practice. |
