| 摘 要： | 独立董事制度在我国的引入已经历了很长时间,但依然存在很多争议,究其原因,主要是独立董事制度本身以及与监事会制度之间的不协调等问题.独立董事也是职业经理人,从这一新的视角对这些问题进行研究,将监事会制度与独立董事制度联系起来思考,对两者各自存在的现状进行描述,并且就监事会与独立董事之间存在的问题进行分析,以及如何将独立董事与监事会进行融合.

| Abstract: | The introduction of the Independent Director system has a long time in our country , but it still exsits a lot of problems. The independent director also is a manager, do the research aim at these problems from a new angle of view, take the Supervisor Board System and the Independent Director system consider together , describe the actuality of the Independent Director system and the Supervisor Board System , analyse the problems which existed in them , put forward own viewpoint aim at the amalgamation of the Independent Director system and the Supervisor Board System. |
