| 摘 要： | 企业家人力资本具有天然私有却无法转让的产权特征,决定了企业是企业家人力资本产权内在矛盾的结晶。企业契约的不完全是企业家人力资本产权特征使然。企业家的人力资本产权在企业契约中外在表现为剩余控制权,剩余索取权与剩余控制权对称性制度安排,是激励与约束企业家的必然选择。
