| 摘 要： | 运用效用函数分析了现代公司治理结构中的行为主体(股东、经理层)之间的权力制衡机理,通过建立博弈模型研究了大股东之间的权力争夺,大股东和小股东的博弈以及股东与经理层的制衡,提出高度集中或高度分散的股权结构都不利于对经理层的监督和约束,而股权适度集中有利于形成企业内部的权力制衡。

| Abstract: | This paper uses the utility function to analyze the mechanism of the balance of power in modern corporate governance .By building the games models between the large shareholders, the small shareholders with the large shareholders and the shareholders with the managers, the study reports that the extreme centrality or the other extreme of share will hinder the monitoring and restricting on the managers, while the proper degree of the share's decentralizations is useful to form the balance of power in corporate governance. |
