企业纵向一体化战略的利益协调——一个社会资本视角的分析

根据社会资本的丰富内涵,纵向一体化战略下企业的社会资本由外部资本和内部资本构成;基于社会资本的视角,纵向一体化战略的利益协调本质可归纳为三个命题,即市场交易成本过高的根本原因是外部社会资本的短缺、专用性人力资本的协同效应影响纵向一体化战略的成功实施以及培育优质社会资本可以减少被购并企业的机会主义行为.促进纵向一体化战略的利益协调,需要从企业内、外部社会资本的培育两方面努力.

Interests Coordination of Longitudinal Integration Strategy of Enterprises——An Analysis from the Social Capital Perspective

According to the rich connotation of social capital,enterprises' social capital under the longitudinal integration strategy consists of the external and the internal capital.From a perspective of the social capital,the nature of the interests coordination of the longitudinal integration strategy can be summed up as three propositions : firstly,the fundamental reason for the excessively high market transaction cost is the shortage of external social capital;secondly,the convergence effects of specialized human capital affects the successful implementation of the longitudinal integration strategy,and thirdly,the cultivation of high quality social capital can reduce the merged enterprises' opportunism behaviors.To promote the interests coordination of the longitudinal integration strategy,enterprises should put efforts into both internal and external social capital cultivation.
