| 摘 要： | 由于所有权向股权的转换 ,尤其是信息不对称情形的客观存在 ,股东对公司的支配力弱化 ,从而危及股东利益的实现。赋予股东以信息权是克服股东支配力弱化的有力措施 ,对保护居于信息占有弱者地位的股东的利益 ,维系股东信心 ,实现股东其他权利 ,防止公司欺诈 ,进而维护社会公共利益都具有重要的意义

| Abstract: | Owing to the transformation from proprietory right to shareholders' right, especially the objective existence of the situation of informational assymmetry, it has threatened the realization of the shareholders' controlling power to the company. To vest the shareholders with information right is an effective measure to overcome it. And it holds great value to protect the interests of the shareholders' in inferior situation of possesing information, to support their confidnce, to realize their other rights, to prevent company fround, and then to proceed to safeguard the public interests. |
