| 摘 要： | 如何找到一种适合社会主义市场经济的管理模式．是经济体制改革的核心问题。本文通过对中国委托代理制度考察及与国际惯例的比较，阐明我国企业管理模式低下的原因是委托代理权责关系不明确，改革的根本出路在于建立合理有效的激励与约束机制．以解决国有企业委托——代理关系的制度缺陷。

| Abstract: | The key question of economic system reform is to seek a management model fit for the socialism market economy. The paper, though the analysis of authority-agent system in China and comparison with international common practice, is to show the root of enterprise management inefficiency is the unclear relationship between authority and agent, hence point out that the way out is to establish efficient and proper motivation and restraint system, in order to solve the system problem in the authority-agent relationship. |
