试论公司法中的法人人格否认制度

十届全国人大常委会第十八次会议表决通过了全国人大常委会关于修改公司法的决定,对公司法的内容进行了五个方面的修改,增加法人人格否认制度就是其中的重要内容。本文论述了我国增加法人人格否认制度的背景和公司法修改前我国公司法人人格否认的实践。笔者认为增加法人人格否认制度对我国法治建设有着重要的理论意义和实践意义。

On the Theory of Disregard of Corporate Personality of the Corporation Law

The 18th meeting of the 10th NPC Standing Committee voted through the decision of Standing Committee of the NPC about revising the corporation law on October 27,2005. It had revised five aspects on the corporation law, in which the disregard of corporate personality is an important part. This thesis discusses the background of increasing the system of disregard of corporate personality and revision of our. disregard of corporate personality practice. I think that an increase in the system of disregard of corporate personality in China has an important theoretical and practical significance.
