我国券商治理的风险分析及对策

文章认为 ,因未实质解决好三类“相容性”问题导致了我国券商虽建立了较完整的治理结构 ,但治理风险并未消除。三类“相容性”问题分别是 :委托层股东利益不一致而引起的股东相容性问题 ;委托—代理的激励相容性风险问题 ;代理人能力与公司发展要求的相容性问题。本文对三类风险问题进行了分析 ,提出了防范券商治理风险的对策建议。

The Analyses and Countermeasures of Three Compatibilities Risk Problems of Securities Corporate Governance in Our Country

The article thinks, although our securities corporates h ave es tablished comparatively integrated governance construction, but the governance r isk are not ye t eliminated, for the three problems of compatibilities are not substa ntially solv ed. The three compatibilities are: the disagreement of shareholders interest leading to compatibilities of the shareholders; the invigorative compatibili tie s risk problems of entrustment-agency; the compatibilities problems of the abi lity of agency and the requirement of the development of companies. This article analyzes the three compatibilities problems and puts forward the countermeasure s and suggestions to prevent securities corporate governance risk.
