| 摘 要： | 预先重整是结合司法重整与法庭外债务重组的一种混合型企业拯救机制，在实践中发展出适用或不适用破产法典的两种模式。相比我国传统的企业拯救机制，预先重整能够提高经济效率与确定性，减少对企业的负面影响，同时保护利益相关者。我国在借鉴预先重整制度时，可以根据需要兼采两种模式，进一步厘清预先重整的启动、转化等程序性问题，并通过司法备案、程序指南等方式对国外的模式实施改进。

| Abstract: | Prepackaged reorganization is a mixed rescue mechanism for distressed enter- prises, with the combination of judicial reorganization and out-of-court debt reorganization, and derives the bankruptcy-law model and non-bankruptcy-law model in practice. Compared with traditional rescue mechanism for distressed enterprises, prepackaged reorganization can increase economic efficiency and the certainty, reduce negative impacts on enterprises and protect stakeholders. Learning from prepackaged reorganization system, China should adopt two modes above-mentioned according to need, further clarify procedural issues such as the start and transformation of prepackaged reorganization, and improve foreign models by judi- cial records, procedure guide and so on. |
