| 摘 要： | 中国上市公司独立董事制度近几年的实践证明,独立董事制度对完善我国上市公司法人治理结构发挥了巨大作用,公司的业绩不断提升。但是独立董事也确实存在着信息获取不足、激励机制和信誉约束机制不成熟、能力不适应和时间不足等问题。
