| 摘 要： | 现代商业银行作为保障国民经济运行的重要资金运营企业,公司治理与一般公司治理结构存在很大差异.而商业银行公司治理是否科学,运行是否有效,又是决定其构造合理的内部制衡机制及有效的内控制度,强化外部监管和信息披露,建立完善的产权制度的关键.本文在比较研究英德两国商业银行公司治理模式的基础上,提出了进一步优化我国商业银行公司治理的对策与建议.

| Abstract: | The modem commercial bank is the important fund operation enterprise to safeguard the national economy movement. Its company governs exists very big difference from the common company governs. But whether the commercial bank company governs is scientifical and effective or not is the key to decide its balance of the mechanism and effective control inside the system, and to strengthen exterior supervising and managing and the information disclosed and establish perfect property right system. This article proposes the countermeasure and the suggestion which our country commercial bank company governs to further optimize in the foundation of the comparison research on the both commercial bank company pattern in England and Germany. |
