基金管理公司经营层持基激励的选择与完善

摘    要:基金制度下基金管理公司的经营层拥有更多的基金与公司经营的控制权,迫切需要通过长期激励将其利益与基金、公司的发展相互结合,以实现彼此的共同发展。基金管理公司股权激励在具体的制度选择上面临着诸多问题和障碍,而持基激励则在符合法律规定、满足制度目标与现状等方面具有积极的价值,因而应当成为其长期激励机制构建的必然选择。由于现有的基金管理公司经营层持基激励尚存在着相应的不足,应当在持基时间、数额、对象以及立法等方面加以相应的完善。

Abstract:Under mutual fund system,the managers can get more control over mutual fund and the management of the company.The mutual funds companies are urge to combine the company′s development with mutual funds and benefits through long-term incentive mechanism.Stock option incentive faces with many problems.Fund incentive,which compliance with the law,has value on reality.Therefore,it should become part of the long-term incentive mechanism.However,current system still have some problems,the companies still need efforts on time,value,target,legislation and other aspects.
