| 摘 要： | 以美国为主的西方发达国家经历了五次兼并浪潮，这五次兼并浪潮具有不同的特征，在全面分析了我国企业兼并活动历程基础上，从国际比较角度，研究认为我国目前的兼并活动总体上处于西方第一次兼并浪潮阶段，以实现规模经济和效率化经营为兼并的主要目的，同时具有很强的转轨经济特征。

| Abstract: | The developed countries have witnessed five M&A waves with different characteristics.After an analysis on M&A activities in China,it is believed that,from an international point of view,M&A in China with the apparent transfer-economy character is on the period of the first M & A wave,which is to realize scale economy and efficiency. |
