纵向交易治理、分工制度安排与企业边界

基于分工的上下游企业的纵向交易治理,已越来越受到人们的关注。通过引入交易费用,科斯分析了企业和市场的边界。在科斯的基础上,威廉姆森认为不同的交易对应着不同的治理结构。纵向交易治理不同于一般的对交易治理结构的选择,实质上是对分工制度安排的选择。在选择中,不仅要考虑交易费用,更要考虑不同分工制度安排的收益,而不同的分工制度安排则要通过企业边界的变动实现。

Institutional Arrangement on Division of Labor and Change of Firm Boundary in the Governance Process of Vertical Transaction

Vertical transaction governance between upstream and downstream enterprises based on division of labor is more and more emphasized.By introducing transaction costs,Coase analyzes the boundary between firm and market;according to Coase's theory,Williamson points out that different transaction is corresponding with different governance structure.Distinguished from the common choice of transaction governance structure,in fact,vertical transaction governance is the choice of institutional arrangement on division of labor.In the process of the choice,not only transaction cost should be considered,but benefit of different institutional arrangement on division of labor should also be considered,and the implementation of different institutional arrangement on division of labor depends on change of firm boundary.
