董事会结构是影响董事会效率与独立性的关键因素，是解决早期公司治理失效问题的重点，文章利用委托代理理论与博弈论，在充分考虑企业战略形态、外部董事对董事会结构影响的前提下，构建企业董事会最优结构模型．探讨最优董事会结构与董事治理效率的相互作用机制，进一步完善现行的董事会治理机制，为完善企业董事会建设和改善董事会治理效率提供一定的理论参考。
