国有企业公司治理结构诊断及完善对策

与国际上规范的公司治理结构相比,我国国有企业公司治理结构的＂形似而神不似,形备而实不至＂,一直是困扰国有企业和政府部门的一道难题。完善公司治理结构,必须加快企业产权结构调整,规范董事会制度建设,理顺＂新三会＂与＂老三会＂及经理层的关系,严格实行规范化、制度化管理。

A Diagnosis of the Corporate Governance Structure of State-owned Enterprise and its Improvement Measures

It＇s a difficulty problem troubled state-owned enterprises and government departments in China since China＇s corporate governance structure of state-owned enterprises has characteristics of well—shape but poor—reality comparing to the international corporate governance structures.To improve the corporate governance structure,we need to speed up the restructuring of enterprise property rights,regulate the construction of directors board system,rationalize the ＂new three boards＂ and the ＂old three boards＂ as well as the relationships among management levels,and strictly implement standardized and institutionalized management.
