| 摘 要： | 产权不清、企业法人治理结构不合理以及没有完善的激励约束机制 ,导致了国有企业委托 -代理关系的低效。要完善国有企业的委托 -代理链条 ,必须明晰产权 ,增强国有资产代理人选派的公正性 ,强化代理人激励和约束机制 ,并完善资本市场和法律制度。
