河北省上市公司执行独立董事制度调查报告

从独立董事的基本特征、独立董事履行职责效果、独立董事激励机制、独立董事选择机制、独立董事与监事会关系、独立董事人才市场建立六个角度出发,考察了河北省上市公司独立董事制度执行情况,调查发现现阶段独立董事制度虽取得了一定成效,但仍存在着一定的问题,如独立董事专业结构和行业背景构成不是很合理、独立董事定位不明确、独立董事选择受大股东控制、独立董事与监事会职能重叠等。

Survey of the Enforcement of Independent Director System in Hebei's Listed Companies

This article surveys the enforcement of independent director system in Hebei's listed companies from six aspects: basic features,performance,stimulative mechanism,and selection mechanism of independent director as well as the relationship between board of supervisors and independent director,the setting up of the intellectual market for independent director.The survey shows that so far the system of independent director system has achieved some effects,though still with some problems,such as irrational structure of specialty and industrial background,and indefinite role of independent director,the control of the selection by major shareholder and the overlapping of the function of independent director and board of supervisors.
