国企跨国经营的治理与监管

跨国经营的国企,产权代表缺位现象普遍存在,由于距离比较远,国资委监管不便,对管理层没有必要的约束以致其权力膨胀,影响公司的经营活动。对跨国经营国企的治理与监管具有重要的现实意义。针对我国的实际情况,应强化股东会对经理层的控制和问责机制。可以引进独立董事和审计委员会制度,建议国资委委派产权代表进入跨国企业,实行公开招聘制度,设立专门的国资委跨国事务管理部门,进行独立的治理与监管。

GOVERN ANCE AND CONTROL OF THE TRANSNATIONAL STATE-OWNED ENTERPRISES

In the transnational state-owned enterprises,the vacancy of property representative is a common phenomenon.Because of the long distance,the State Property Committee can't take good care of the management,affecting the enterprise's normal activities,so it is meaningful to govern and control it.We can take several measures to solve the problems,such as,introducing the independent director and audit committee system,establishing special department in the State Property Committee to manage the enterprise,and so on.Besides,in order to make wiser decision,we should try our best to make known of the local law and relative policies.
