认同与限制：对一人公司在我国新《公司法》中的法律地位的评析

一人公司因其鲜明的个性为许多发达国家和地区的法律所认可。我国新《公司法》也对一人公司的法律地位作了既认同又限制的规定。在肯定该规定具有很强的现实和理论意必的同时,也应该给予以下两点否定评价：第一,相关规定对一人公司的过多限制弱化了该规定在减少实质上的一人公司方面的作用；第二,相关规定的不完善导致该规定无法克服一人公司的弊端。在全面评价的基础上,建议对《公司法》的相关规定予以修改。

Identification and limitation: evaluation of one person company''''s legal position in China''''s new "company law"

Due to it's distinct character,One-man company has been accepted in many developed countries and districts.The new revised com- pany law of China not only certificated the legitimacy of one-man compa- ny,but also made a many restrictions on it.Along with affirming the practical and theoretical significance of the rules,we should give the rules two negative appraisement:The first,the overmuch restriction of the rules would weak the value of the rules in reducing the number of the virtual one-man company;the second,the defect of the rules would produce the result that the rules were not able to overcome the malpractice of the one- person company.Based on the above-mentioned appraisement,the article propose to revise the Company Law of the People's Republic of China.
