| 摘 要： | 1932年,Berle and Means在《现代公司与私有财产》中提出现代公司所有权分散问题以及所有权与控制权分离的问题,即“Berle-Means命题”。本文从公司控制的内部系统和外部系统两个方面回顾了求解“Berle-Means命题”的研究进展,探讨了现代公司控制理论衍生与演化趋势。
